Common use of Confirmatory Review Clause in Contracts

Confirmatory Review. Subject to applicable Laws, Glamis shall continue to make available and cause to be made available to Goldcorp and the agents and advisors thereto all documents, agreements, corporate records and minute books as may be necessary to enable Goldcorp to effect a thorough examination of Glamis and the Glamis Subsidiaries and the business, properties and financial status thereof, including the provision of unaudited monthly consolidated financial statements of Glamis together with the consolidation therefor, and shall cooperate with Goldcorp in securing access for Goldcorp to any documents, agreements, corporate records or minute books not in the possession or under the control of Glamis. Subject to applicable Laws, upon reasonable notice, Glamis shall, and shall cause the Glamis Subsidiaries to, afford officers, employees, counsel, accountants and other authorized representatives and advisors of Goldcorp reasonable access, during normal business hours from the date hereof until the earlier of the Effective Time or the termination of this Agreement, to the properties, books, contracts and records as well as to the management personnel of Glamis and the Glamis Subsidiaries, and, during such period, Glamis shall, and shall cause the Glamis Subsidiaries to, furnish promptly to Goldcorp all information concerning the business, properties and personnel of Glamis and the Glamis Subsidiaries as Goldcorp may reasonably request.

Confirmatory Review. Subject to applicable Laws, Glamis Peak shall continue to make available and cause to be made available to Goldcorp New Gold and Metallica and the agents and advisors thereto all documents, agreements, corporate records and minute books as may be necessary to enable Goldcorp New Gold and Metallica to effect a thorough examination of Glamis Peak and the Glamis Peak Subsidiaries and the business, properties and financial status thereof, including the provision of unaudited monthly consolidated financial statements of Glamis Peak together with the consolidation therefor, and shall cooperate with Goldcorp New Gold and Metallica in securing access for Goldcorp New Gold and Metallica to any documents, agreements, corporate records or minute books not in the possession or under the control of GlamisPeak. Subject to applicable Laws, upon reasonable notice, Glamis Peak shall, and shall cause the Glamis Peak Subsidiaries to, afford officers, employees, counsel, accountants and other authorized representatives and advisors of Goldcorp New Gold and Metallica reasonable access, during normal business hours from the date hereof until the earlier of the Effective Time or the termination of this Agreement, to the properties, books, contracts and records as well as to the management personnel of Glamis Peak and the Glamis Peak Subsidiaries, and, during such period, Glamis Peak shall, and shall cause the Glamis Peak Subsidiaries to, furnish promptly to Goldcorp New Gold and Metallica all information concerning the business, properties and personnel of Glamis Peak and the Glamis Peak Subsidiaries as Goldcorp New Gold and Metallica may reasonably request.

Subject to applicable Laws, Glamis Metallica shall continue to make available and cause to be made available to Goldcorp New Gold and Peak and the agents and advisors thereto all documents, agreements, corporate records and minute books as may be necessary to enable Goldcorp New Gold and Peak to effect a thorough examination of Glamis Metallica and the Glamis Metallica Subsidiaries and the business, properties and financial status thereof, including the provision of unaudited monthly consolidated financial statements of Glamis Metallica together with the consolidation therefor, and shall cooperate with Goldcorp New Gold and Metallica in securing access for Goldcorp New Gold and Peak to any documents, agreements, corporate records or minute books not in the possession or under the control of GlamisMetallica. Subject to applicable Laws, upon reasonable notice, Glamis Metallica shall, and shall cause the Glamis Metallica Subsidiaries to, afford officers, employees, counsel, accountants and other authorized representatives and advisors of Goldcorp New Gold and Peak reasonable access, during normal business hours from the date hereof until the earlier of the Effective Time or the termination of this Agreement, to the properties, books, contracts and records as well as to the management personnel of Glamis Metallica and the Glamis Metallica Subsidiaries, and, during such period, Glamis Metallica shall, and shall cause the Glamis Metallica Subsidiaries to, furnish promptly to Goldcorp New Gold and Peak all information concerning the business, properties and personnel of Glamis Metallica and the Glamis Metallica Subsidiaries as Goldcorp New Gold and Peak may reasonably request.

Subject to applicable Lawslaw, Glamis until September 13, 2006, Goldcorp shall continue to make available and cause to be made available to Goldcorp Glamis and the agents and advisors thereto all documents, agreements, corporate records and minute books as may be necessary to enable Goldcorp Glamis to effect a thorough examination of Glamis Goldcorp and the Glamis Goldcorp Material Subsidiaries and the business, properties and financial status thereof, including the provision of unaudited monthly consolidated financial statements of Glamis together with the consolidation therefor, and shall cooperate with Goldcorp Glamis in securing access for Goldcorp Glamis to any documents, agreements, corporate records or minute books not in the possession or under the control of GlamisGoldcorp . Subject to applicable Laws, upon reasonable notice, Glamis until September 13, 2006, Goldcorp shall, and shall cause the Glamis Goldcorp Material Subsidiaries to, afford officers, employees, counsel, accountants and other authorized representatives and advisors of Goldcorp Glamis reasonable access, during normal business hours from the date hereof until the earlier of the Effective Time or the termination of this Agreement, to the properties, books, contracts and records as well as to the management personnel of Glamis Goldcorp and the Glamis Goldcorp Material Subsidiaries, and, during such period, Glamis Goldcorp shall, and shall cause the Glamis Goldcorp Material Subsidiaries to, furnish promptly to Goldcorp Glamis all information concerning the business, properties and personnel of Glamis Goldcorp and the Glamis Goldcorp Material Subsidiaries as Goldcorp Glamis may reasonably request. Following September 13, 2006, Goldcorp shall, subject to applicable law, make available and cause to be made available to Glamis, and the agents and advisors thereto, information reasonably requested by Glamis for the purposes of preparing, considering and implementing integration and strategic plans for the combined businesses of Glamis and Goldcorp going forward and confirming the representations and warranties of Goldcorp set out in Section 3.02 of this Agreement.

Subject to applicable Lawslaw, Glamis until September 26, 2006, Goldcorp shall continue to make available and cause to be made available to Goldcorp Glamis and the agents and advisors thereto all documents, agreements, corporate records and minute books as may be necessary to enable Goldcorp Glamis to effect a thorough examination of Glamis Goldcorp and the Glamis Goldcorp Material Subsidiaries and the business, properties and financial status thereof, including the provision of unaudited monthly consolidated financial statements of Glamis together with the consolidation therefor, and shall cooperate with Goldcorp Glamis in securing access for Goldcorp Glamis to any documents, agreements, corporate records or minute books not in the possession or under the control of GlamisGoldcorp. Subject to applicable Laws, upon reasonable notice, Glamis until September 26, 2006, Goldcorp shall, and shall cause the Glamis Goldcorp Material Subsidiaries to, afford officers, employees, counsel, accountants and other authorized representatives and advisors of Goldcorp Glamis reasonable access, during normal business hours from the date hereof until the earlier of the Effective Time or the termination of this Agreement, to the properties, books, contracts and records as well as to the management personnel of Glamis Goldcorp and the Glamis Goldcorp Material Subsidiaries, and, during such period, Glamis Goldcorp shall, and shall cause the Glamis Goldcorp Material Subsidiaries to, furnish promptly to Goldcorp Glamis all information concerning the business, properties and personnel of Glamis Goldcorp and the Glamis Goldcorp Material Subsidiaries as Goldcorp Glamis may reasonably request. Following September 26, 2006, Goldcorp shall, subject to applicable law, make available and cause to be made available to Glamis, and the agents and advisors thereto, information reasonably requested by Glamis for the purposes of preparing, considering and implementing integration and strategic plans for the combined businesses of Glamis and Goldcorp going forward and confirming the representations and warranties of Goldcorp set out in Section 3.02 of this Agreement.
