Conflict with Articles of Association. In the event of any conflict or inconsistency between the provisions of this Agreement and the provisions of the Company’s Articles or other constitutional documents, the terms of this Agreement shall prevail as between the shareholders of the Company only. The Investors and the Founder Parties shall, notwithstanding the conflict or inconsistency, act so as to effect the intent of this Agreement to the greatest extent possible under the circumstances and shall promptly amend the conflicting constitutional documents to conform to this Agreement to the greatest extent possible.
Conflict with Articles of Association. In the event of any conflict between the Articles of Association and this Agreement, the provisions of this Agreement shall prevail.
Conflict with Articles of Association. The Shareholders hereby agree that if and to the extent that the Articles of Association conflict with the provisions of this Agreement, this Agreement shall prevail for so long as it is in force and each Shareholder shall take all such further steps as may be necessary or requisite to ensure that the provisions of this Agreement shall prevail, including without limitation assisting, on request by either Shareholder, in convening a general meeting and voting in favor of amendments to the Articles of Association to conform with the terms of this Agreement.
Conflict with Articles of Association. In the event of any ambiguity or discrepancy between the provisions of this agreement and the Articles of Association or other constitutional documents of a member of the Company’s Group, the provisions of this agreement shall prevail as between the parties to the extent of the inconsistency for so long as this agreement remains in force. Each of the parties shall (as applicable) exercise all voting and other rights and powers available to it so as to give effect to the provisions of this agreement and, if necessary, to procure (so far as it is able to do so) any required amendment to the Articles of Association or such other constitutional documents.
Conflict with Articles of Association. Notwithstanding the provisions of the Articles of Association or amendments to be adopted by the Company in the future, in the event of any ambiguity or conflict arising between the terms of this Agreement and those of the Articles of Association, the terms and provisions of this Agreement shall (so long as they remain in full force and effect) prevail over the Articles of Association (but not so as to alter the Articles of Association) and the Parties hereto shall act accordingly and procure the Company to amend the conflicting or inconsistent Articles of Association to reflect the provisions of this Agreement.
Conflict with Articles of Association. If, during the term of this Contract, there shall be any conflict between the provisions of this Contract and the Articles of Association, the provisions of this Contract shall prevail.
Conflict with Articles of Association. In the event of any conflict between the Articles of Association of the Company and the Use Agreement, the Directors of the Company shall, at their option, determine which provisions shall prevail.
Conflict with Articles of Association. 20.1 The Shareholders undertake forthwith hereafter to take all such steps and do all such things as may be necessary to ensure that the memorandum and articles of association of the Company reflect, insofar as may be appropriate, the provisions of this Agreement.
Conflict with Articles of Association. Subject to the Act, in the event of any conflict or inconsistency between the provisions of this Agreement and the provisions of the Company’s Articles or other constitutional documents, the terms of this Agreement shall prevail as between the shareholders of the Company only. The Parties shall, notwithstanding the conflict or inconsistency, act so as to effect the intent of this Agreement to the greatest extent possible under the Act and shall promptly amend the conflicting constitutional documents to conform to this Agreement to the greatest extent possible under the laws of the Cayman Islands.
Conflict with Articles of Association. To the fullest extent permitted by applicable law, if there shall be any conflict between any provision of this Agreement and any provision of the Articles of Association, the provisions of this Agreement shall govern and supersede the applicable provision of the Articles of Association.
