Common use of Consent in Lieu of Meeting Clause in Contracts

Consent in Lieu of Meeting. (a) Any action required or permitted to be taken at a meeting of the Managers or the Members may be taken without a meeting if, prior or subsequent to the action, written consents describing the action to be taken are signed by each Manager or Member, respectively, entitled to vote xxxxxxx. (b) Any action required or permitted to be taken at a meeting of the Managers or Members may be taken without a meeting if, prior or subsequent to the action, written consents describing the action to be taken are signed by the minimum number of Managers or Members that would be necessary to authorize the action at a meeting at which all Managers or Members entitled to vote thereon were present and voting. The consents shall be filed with the Managers. Prompt notice of the taking of the Company action without a meeting by less than unanimous written consent shall be given to those Members who have not consented in writing.
