Common use of Consent of Master Landlord Clause in Contracts

Consent of Master Landlord. If Subtenant desires to take any action which requires the consent of Master Landlord pursuant to the terms of the Master Lease, including, without limitation, the making of any alterations, then, notwithstanding anything to the contrary herein, (a) Sublandlord, independently, shall have the same rights of approval or disapproval as Master Landlord has under the Master Lease, (b) Subtenant shall not take any such action until it obtains the consent of both Sublandlord and Master Landlord, and (c) Subtenant shall request that Sublandlord obtain Master Landlord's consent on Subtenant's behalf and Sublandlord shall use commercially reasonable efforts to obtain such consent and any out-of-pocket expense of obtaining such consent shall be borne by Subtenant, unless Sublandlord and Master Landlord agree that Subtenant may contact Master Landlord directly with respect to the specific action for which Master Landlord's consent is required.

If Subtenant desires to take any action which that requires the consent of Master Landlord pursuant to the terms of the Master Lease, including, without limitation, making any modification, alteration or improvement of the making Sublease Premises or entering into a further sublease or assignment of this Sublease, and in any alterationsevent if Subtenant desires to make any alternation to the Sublease Premises, then, notwithstanding anything to the contrary herein, (a) Sublandlord, independently, Sublandlord shall have the same rights of approval or disapproval as Master Landlord has under the Master Lease, (b) Subtenant shall not take any such action until it obtains the consent of both Sublandlord and Master Landlord, Landlord and (c) Subtenant shall request that Sublandlord obtain Master Landlord's consent on Subtenant's behalf and Sublandlord shall use commercially reasonable efforts to obtain such consent and any out-of-pocket expense of obtaining such consent shall be borne by Subtenantbehalf, unless Sublandlord and Master Landlord agree agrees that Subtenant may contact Master Landlord directly with respect to the specific action for which Master Landlord's consent is required.

(a) If Subtenant Tenant desires to take any action which requires the consent of Master Landlord pursuant to the terms of the Master Lease, including, without limitation, the making of any alterations, then, then notwithstanding anything to the contrary herein, (a) SublandlordLandlord, independently, shall have the same rights of approval or disapproval as Master Landlord has under the Master Lease, (b) Subtenant Tenant shall not take any such action until it obtains the consent of both Sublandlord Landlord and Master Landlord, and (c) Subtenant Tenant shall request that Sublandlord Landlord obtain Master Landlord's consent on SubtenantTenant's behalf and Sublandlord shall use commercially reasonable efforts to obtain such consent and any out-of-pocket expense of obtaining such consent shall be borne by Subtenantbehalf, unless Sublandlord and Master Landlord agree agrees that Subtenant Tenant may contact Master Landlord directly with respect to the specific action for which Master Landlord's consent is required. Any consent required of Landlord conclusively shall be deemed reasonably withheld, if consent also is required of the Master Landlord, and Master Landlord withholds its consent.
