Precondition. The Master Lease requires that Sublessor obtain the consent of Master Lessor to any subletting by Sublessor. This Sublease shall not be effective unless and until Master Lessor signs a consent to this subletting satisfactory to Sublessor.
Precondition. The Master Lease requires that Sublandlord obtain the consent of Master Landlord to any subletting by Sublandlord. If Master Landlord shall not have consented to this Sublease in a form reasonably acceptable to Sublandlord within thirty (30) days after the Commencement Date, Sublandlord may terminate this Sublease by providing written notice thereof to Subtenant. This Sublease shall not be effective unless and until Master Landlord signs a consent to this subletting satisfactory to Sublandlord and Subtenant. In compliance with the terms of Paragraph 7.3 of the Master Lease, Sublandlord shall use its best efforts to obtain Master Landlord's consent to this Sublease. If Sublandlord is unable to obtain Master Landlord's consent within thirty (30) days of the Effective Date, this Sublease shall terminate.
Precondition. It is a condition precedent to the referral of a dispute to litigation that the parties confer in accordance with sub-clause 15.2 [Conference].

In no event shall Sharing Institution provide (or permit its Internal Users to provide) to the Collaborating Institution any unpublished Derivative Work unless and until this Addendum has been signed by each Academic Institution and accepted/countersigned by FINRA. Under no circumstances shall Sharing Institution share (or permit its Internal Users to share) the Academic Data Set with Collaborating Institution.

In no event shall Sharing Institution provide (or permit its Internal Users to provide) to Collaborating Institution any unpublished (with published having the meaning given in Section 6(b) of the Agreement) Derivative Work unless and until this Collaboration Addendum has been signed below by each Academic Institution and accepted/countersigned and delivered by MSRB. Under no circumstances shall Sharing Institution share (or permit its Internal Users to share) the Academic Data Set with Collaborating Academic Institution (nor shall Collaborating Institution knowingly accept the Academic Data Set).
Precondition. 2.1 The Parties confirm that the precondition of this share transfer is subject to satisfaction and completion of each of the following conditions or items within one month after the execution of this Agreement:
2.1.1 Qingdao Boyang is the sole registered owners of Qingdao School, and holds 100% equity interests of Qingdao School without any flaw; and is on schedule to pay capital contribution under the articles of associations of Qingdao School. The qualified capital verification institution examined and issued a capital verification report;
2.1.2 The Transferors are the sole registered owners of Qingdao Boyang, and holds 51% and 49% respectively equity interests of Qingdao Boyang without any flaw; and are on schedule to pay capital contribution under the articles of associations of Qingdao School. The qualified capital verification institution examined and issued a capital verification report;
2.1.3 Qingdao Boyang and Qingdao School have properly resolved all the litigation, judicial, administrative or arbitral proceedings, and the Transferee have expressed their satisfaction;
2.1.4 After audited by one of the world’s largest four accounting firms (PricewaterhouseCoopers, Ernst & Young, KPMG and Deloitte Touche Tohmatsu) designated by Transferee, the financial report and book records of Qingdao School should be consistent with the primary audit principles of U.S. GAAP and be able to be completed the first draft of the audit report under U.S. GAAP.
2.2 If any of the conditions set forth in Article 2.1 will not be satisfied within the agreed period for any reason, the Transferee has the right to choose to immediately terminate this Agreement by written prior notice and without any liability for this, and the transfer of shares should be restored to the state prior to the signing of this Agreement.

The home institution will nominate only students that have already obtained their bachelors degree (or an equivalent degree) and are admitted to the master’s degree program at the home institution. The selection of nominees will be based on academic results, i.e. nominated students have to be of very good standing at their home institution. Further, knowledge of English and/or the language of the host country (German or Italian) is an important side condition. Nominated students are entitled to continue their curriculum in the first and second years of the master’s degree studies at the host institution. The candidates from the University of Udine that ask for the registration to the first year of the DD Program for achieving a master’s degree must meet all the eligibility criteria requested for the enrollment in the “UNIUD study program” as mentioned in the Manifesto degli Studi; and have the knowledge of a foreign language of European Union in both oral and written form;

The selection of nominees will be based on their academic results, i.e. nominated students shall be of very good standing at their home institution. Further, knowledge of English and/or the language of the host country (German or ltalian) is an important side condition. Nominated students are entitled to continue their curriculum in the first and second years of the master's degree studies at the host institution. The candidates from the University of Udine that ask for the registration to the first year of the DD Program must have fulfilled the following requirements:
a) completion of first level degree corresponding, for ltalian students, to the possession of a three-years degree in the following classes: L-10; L-11; L-12; and at least 12 ECTS in German/Austrian literature and 12 ECTS in German language and linguistics; exam to prove the level of German language is foreseen;
b) starting to the academic year 2016/2017 the student selected to DD Program must have fulfilled the following requirements: Foreign Languages and Literatures (21 ECTS in German/Austrian literature and 21 ECTS in German language and linguistics);
c) have a good command of another foreign language of the European Union in both oral and written form.

b) knowledge of a foreign language of the European Union in both oral and written form
