Consent to Exclusive Jurisdiction. Any action, suit or proceeding arising out of any claim that the parties cannot settle through good faith negotiations shall be litigated exclusively in the state courts of Xxxxxx County of the State of Texas. Each of the parties hereto hereby (i) expressly and irrevocably consents and unconditionally (a) submits to the jurisdiction of such each state courts and federal court located in the State of Texas for (and each appellate court located in the State of Texas) in connection with any such action, suit or legal proceeding, including to enforce any settlement, order or award; (bii) consents to service of process in any such proceeding anywhere in the world in a manner consistent with Rule 4 of the Federal Rules of Civil Procedure or in a manner consistent with the applicable Law of the jurisdiction in which process is served; (iii) agrees that each state and federal court located in the State of Texas shall be deemed to be a convenient forum; (iv) waives and agrees not to commence assert (by way of motion, as a defense or otherwise), in any such action, suit legal proceeding commenced in any state or proceeding except federal court located in such state courts the State of Texas, any claim that such Person is not subject personally to the jurisdiction in such court, that such legal proceeding has been brought in an inconvenient forum, that the venue of such proceeding is improper or that this Agreement or the subject matter hereof or thereof may not be enforced in or by such court; and (cv) agrees to the entry of an order to enforce any resolution, settlement, order or award made pursuant to this Section 7.9 by the state and federal courts located in the State of Texas and in connection therewith hereby waives, and agrees not to plead asset by way of motion, as a defense, or to make, any objection to the venue of any such action, suit or proceeding in such state courts of Texas, (d) waives, and agrees not to plead or to make, any claim that any such action, suit or proceeding brought in such state courts of Texas has been brought in an improper or otherwise inconvenient forum, (e) waives, and agrees not to plead or to makeotherwise, any claim that such state courts of Texas lack personal jurisdiction over itresolution, and (f) waives its right to remove any such actionsettlement, suit order or proceeding to the federal courts except when such courts are vested award is inconsistent with sole and exclusive jurisdiction by statute.
