Common use of Consents and Proceedings Clause in Contracts

Consents and Proceedings. The Buyer shall have obtained all of the consents, authorizations, orders or approvals required in order to execute and deliver this Agreement and to perform its obligations hereunder - 42 - 48 and thereunder and all actions, proceedings, instruments and documents deemed necessary or appropriate by Shareholders and their counsel to effectuate this Agreement and the consummation of the transactions contemplated hereby, or incidental thereto, shall have been obtained and all other related legal matters shall have been approved by such counsel.
