Consents and Proceedings. Seller shall have obtained all of the consents (including third party consents), authorizations, orders and approvals required in order to execute and deliver this Agreement and to perform its obligations hereunder and all actions, proceedings, instruments and documents deemed necessary or appropriate by Buyer and its counsel to effectuate this Agreement and the consummation of the transactions contemplated hereby, or incidental thereto, shall have been obtained and all other related legal matters shall have been approved by such counsel.
