Appropriate Uniform Commercial Code search results in respect of the Credit Parties, as may be reasonably requested by the Administrative Agent, from Delaware and any other relevant jurisdiction, reflecting no prior Liens encumbering the properties of any Credit Party, other than those which shall be released prior to or contemporaneously with the Funding Date and Permitted Liens.
Uniform Commercial Code Searches. Uniform Commercial Code searches (which searches shall be made or caused to be made by and at the expense of Buyer) of filings made pursuant to Article 9 thereof in all jurisdictions where any assets of the Company are located, in form, scope and substance reasonably satisfactory to Buyer and its counsel, shall not disclose any liens, claims, security interests or encumbrances against any of such assets disclosed thereby except liens, claims, security interests

The Administrative Agent shall be in receipt of searches of the appropriate filing records in each office where financing statements must be filed pursuant to Section 3.1(e) in order to confirm the priority of the Security Interests, except as otherwise determined by all of the Banks.

Uniform Commercial Code searches (which searches shall be made or caused to be made by and at the expense of Purchaser) of filings made pursuant to Article 9 thereof in all jurisdictions where any assets of the Company are located, in form, scope and substance reasonably satisfactory to Purchaser and its counsel, shall not disclose any Encumbrances against any of such assets disclosed thereby except Encumbrances that are disclosed in Financial Statements, this Agreement, Stonepath's Schedules or are otherwise released or terminated by the Company prior to or at the time of Closing. Purchaser shall bear any and all costs associated with conducting such searches.
Uniform Commercial Code Searches. Buyers shall have received Uniform Commercial Code, tax and judgment lien records searches (conducted through a date reasonably proximate to the Closing Date) of filings in such records in all jurisdictions where the Sellers have any Property, which shall be in form, scope and substance satisfactory to the Buyers and their counsel and which shall not disclose any encumbrances not otherwise disclosed in a schedule to this Agreement.
Uniform Commercial Code Searches. Austxx xxxll, at its own expense, conduct, or cause to be conducted, a search in each state and county in which either the Company or Austxx xxxducts its business or maintains any assets or properties for financing statements filed in such states and counties under the applicable provisions of the Uniform Commercial Code. Not later than 10 days prior to the Closing Date, Austxx xxxll deliver a list, certified as true and complete by an officer of Austxx, xx all financing statements or other liens recorded in such jurisdictions and a description of the property and assets encumbered thereby.
