Uniform Commercial Code Searches. Appropriate Uniform Commercial Code search results in respect of the Credit Parties, as may be reasonably requested by the Administrative Agent, from Delaware and any other relevant jurisdiction, reflecting no prior Liens encumbering the properties of any Credit Party, other than those which shall be released prior to or contemporaneously with the Funding Date and Permitted Liens.
Uniform Commercial Code Searches. Uniform Commercial Code searches (which searches shall be made or caused to be made by and at the expense of Buyer) of filings made pursuant to Article 9 thereof in all jurisdictions where any assets of the Company are located, in form, scope and substance reasonably satisfactory to Buyer and its counsel, shall not disclose any liens, claims, security interests or encumbrances against any of such assets disclosed thereby except liens, claims, security interests

The Administrative Agent shall be in receipt of searches of the appropriate filing records in each office where financing statements must be filed pursuant to Section 3.1(e) in order to confirm the priority of the Security Interests, except as otherwise determined by all of the Banks.

Searches of Uniform Commercial Code -------------------------------- filings in the jurisdiction of the chief executive office of each Credit Party and each jurisdiction where any Collateral is located or where a filing would need to be made in order to perfect the Agent's security interest in the Collateral and copies of the financing statements on file in such jurisdictions and evidence that no Liens exists other than Permitted Liens.

The Administrative Agent shall have received (x) the results of a recent search, by a Person satisfactory to Administrative Agent, of all effective Uniform Commercial Code financing statements (or equivalent filings) made with respect to any Property of any Obligor, together with copies of all such filings disclosed by such search, and (y) Uniform Commercial Code termination statements (or similar documents) duly executed by all applicable Persons for filing in all applicable jurisdictions as may be necessary to terminate any effective Uniform Commercial Code financing statements (or equivalent filings) disclosed in such search (other than any such financing statements in respect of Liens permitted by the Loan Documents).

The Administrative Agent shall have received the results of Uniform Commercial Code searches (and the equivalent thereof in all applicable foreign jurisdictions) indicating no Liens other than Permitted Liens, and otherwise with form and substance satisfactory to the Administrative Agent.
Uniform Commercial Code Searches. Navarre shall have received Uniform Commercial Code, tax and judgment lien records searches (conducted through a date reasonably proximate in time to the Closing Date and the Effective Date) of filings in such records in all jurisdictions where the Company has any material personal property or fixtures, which shall be in form, scope and substance satisfactory to Buyer and its counsel and which shall not disclose any Encumbrances not disclosed in a Schedule.
