Common use of Consolidation and Merger Clause in Contracts

Consolidation and Merger. No Borrower will, nor will it permit any of its Material Subsidiaries to, enter into any transaction of merger or consolidation or liquidate, wind up or dissolve itself (or suffer any liquidation or dissolution); provided that notwithstanding the foregoing provisions of this Section 8.4, (a) (i) any Person may merge into a Borrower in a transaction in which such Borrower is the surviving Person; (ii) any Person may merge into any Material Subsidiary in a transaction in which the surviving entity is a Material Subsidiary; and (iii) any Material Subsidiary may sell, transfer, lease or otherwise dispose of its assets to a Borrower or to another Material Subsidiary; provided that in each case the Borrowers execute and deliver such documents, instruments and certificates as the Administrative Agent may reasonably request and after giving effect thereto no Default or Event of Default exists; (b) upon prior written notification to the Administrative Agent, any Material Subsidiary of a Borrower may be dissolved or liquidated so long as (1) after giving effect thereto no Default or Event of Default exists, and (2) the Borrowers shall execute and deliver such documents, instruments and certificates as the Administrative Agent may reasonably request; and (c) upon prior written notification to the Administrative Agent, as long as no Default or Event of Default exists, a Material Subsidiary of a Borrower that has no assets and no revenues may be dissolved or liquidated.

No Borrower will, nor Credit Party will it permit any of its Material Subsidiaries to, enter into any transaction of merger or consolidation or liquidate, wind up or dissolve itself (or suffer any liquidation or dissolution); provided that notwithstanding the foregoing provisions of this Section 8.4, (a) any Credit Party may be merged or consolidated with or into another Credit Party; provided that (i) any Person may merge into if the transaction is between a Borrower in a transaction in which and another Credit Party such Borrower is the continuing or surviving Personentity; (ii) any Person may merge into any Material Subsidiary in a transaction in which the surviving entity Administrative Agent is a Material Subsidiary; given prior written notice of such action, and (iii) any Material Subsidiary may sell, transfer, lease or otherwise dispose of its assets to a Borrower or to another Material Subsidiary; provided that in each case the Borrowers Credit Parties execute and deliver such documents, instruments and certificates as the Administrative Agent may reasonably request request; and (iii) after giving effect thereto no Default or Event of Default exists; (b) upon prior written notification to the Administrative Agent, any Material Credit Party that is a Subsidiary of a Borrower may be dissolved or liquidated so long as (1i) after giving effect thereto no Default or Event of Default exists, (ii) all assets of such Credit Party shall become assets of another Credit Party and (2iii) the Borrowers shall Credit Parties execute and deliver such documents, instruments and certificates as the Administrative Agent may reasonably request; and (c) upon prior written notification to the Administrative Agent, as long as no Default or Event of Default exists, a Material Subsidiary of a Borrower Credit Party that has no assets and no revenues may be dissolved or liquidated.
