Common use of Consultant’s Representations and Warranties Clause in Contracts

Consultant’s Representations and Warranties. 5.1 Consultant represents and warrants, and hereby acknowledges TLHCD’s reliance on such representations and warranties, that as of the Effective Date: 5.1.1 Any license held by Consultant, as may be necessary or required for Consultant to provide the Services, is in good standing and is not subject to restriction, modification, suspension or revocation; and 5.1.2 Consultant is not subject to any noncompetition, nondisclosure or other agreement with any third party that in any way restricts Consultant’s ability to provide the Services or otherwise perform under this Agreement, including, without limitation, Consultant’s ability to enter into this Agreement or perform the Services for the benefit of TLHCD.
