Consulting and Noncompetition Agreement. If Executive is involuntarily terminated from employment “without cause”, and Executive executes and does not revoke a Release in the form attached hereto as Exhibit A, at the option of the Executive, the Company hereby agrees that Executive and the Company shall enter into a Consulting and Noncompetition Agreement, substantially in the form set forth as Exhibit B hereto.
Consulting and Noncompetition Agreement. The Consulting and Noncompetition Agreement shall have been duly and validly executed by the parties thereto and shall be in full force and effect.
Consulting and Noncompetition Agreement. Buyer and Wxxxxx Xxxxxxxxx shall have executed the Consulting and Noncompetition Agreement (the “Consulting and Noncompetition Agreement”), in substantially the form attached hereto as Exhibit F.

Consulting and Noncompetition Agreement. Concurrently with the execution of this Agreement, ESB shall enter into a Consulting and Noncompetition Agreement with Jxxxx X. Xxxxxx, Xx. as set forth in Exhibit F hereto.
Consulting and Noncompetition Agreement. At the Closing, Holdings will cause the Company to enter into with Xxxxxxx X. Xxxxxx a Consulting and Noncompetition Agreement in the form set forth in Exhibit 6.3.
Consulting and Noncompetition Agreement. On or prior to the Closing Date, the Owner shall enter into a Consulting and Noncompetition Agreement with Purchaser substantially in the form attached hereto as Schedule 7.4, pursuant to which the Owner will agree (i) not to engage in the Business in the Locations or within a one hundred (100) mile radius thereof for a period of three (3) years following the Closing Date; and (ii) to provide consulting services to Purchaser in accordance therewith (the "Consulting and Noncompetition Agreement").
Consulting and Noncompetition Agreement. The Buyer and Xxx Xxxxxxxxx shall have entered into the Consulting and Noncompetition Agreement substantially in the form of EXHIBIT F, and such agreement shall be in full force and effect.
Consulting and Noncompetition Agreement. On the Closing Date, Autocam shall cause Qualipart to execute and deliver the Noncompetition Agreement and the Employment Agreement.
