Contingent Emergency. Response under Part 4 of the Project 1. To ensure the proper implementation of Part 4 of the Project (“Contingent Emergency Response”) (“CERC Part”), the Borrower shall: (a) prepare and furnish to the Bank for its review and approval, an operations manual which shall set forth detailed implementation arrangements for the CERC Part, including: (i) designation of, terms of reference for and resources to be allocated to, the entity to be responsible for coordinating and implementing the CERC Part (“Coordinating Authority”); (ii) specific activities which may be included in the CERC Part, Eligible Expenditures required therefor (“Emergency Expenditures”), and any procedures for such inclusion; (iii) financial management arrangements for the CERC Part; (iv) procurement methods and procedures for Emergency Expenditures to be financed under the CERC Part; (v) documentation required for withdrawals of Emergency Expenditures; (vi) environmental and social standards management frameworks for the CERC Part, consistent with the Bank’s policies on the matter; and (vi) any other arrangements necessary to ensure proper coordination and implementation of the CERC Part; (b) afford the Bank a reasonable opportunity to review said proposed operations manual; (c) promptly adopt such operations manual for the CERC Part as shall have been approved by the Bank (“CERC Operations Manual”); (d) ensure that the CERC Part is carried out in accordance with the CERC Operations Manual; provided, however, that in the event of any inconsistency between the provisions of the CERC Operations Manual and this Agreement, the provisions of this Agreement shall prevail; and (e) not amend, suspend, abrogate, repeal or waive any provision of the CERC Operations Manual without prior approval by the Bank. 2. The Borrower shall, throughout the implementation of the CERC Part, maintain the Coordinating Authority, with adequate staff and resources satisfactory to the Bank. 3. The Borrower shall undertake no activities under the CERC Part (and no activities shall be included in the CERC Part) unless and until the following conditions have been met in respect of said activities: (a) the Borrower has determined that an Eligible Crisis or Emergency has occurred, has furnished to the Bank a request to include said activities in the CERC Part in order to respond to said Eligible Crisis or Emergency, and the Bank has agreed with such determination, accepted said request and notified the Borrower thereof; and (b) the Borrower has prepared and disclosed all safeguards instruments required for said activities, in accordance with the CERC Operations Manual, the Bank has approved all such instruments, and the Borrower has implemented any actions which are required to be taken under said instruments. 4. Emergency Expenditures required for the CERC Part of the Project shall be procured in accordance with the procurement methods and procedures set forth in the CERC Operations Manual.

(b) afford the Bank Association is afforded a reasonable opportunity to review said the proposed operations manualCERM;
(c) the CERM is promptly adopt such operations manual for the CERC Part adopted as shall have been approved accepted by the Bank (“CERC Operations Manual”)Association;
(d) ensure that the CERC Contingent Emergency Response Part is carried out in accordance with the CERC Operations ManualCERM; provided, however, that in the event of any inconsistency between the provisions of the CERC Operations Manual CERM and this Agreement, the provisions of this Agreement shall prevail; and
(e) the CERM is not amendamended, suspendsuspended, abrogateabrogated, repeal repealed or waive any provision of the CERC Operations Manual waived without prior approval written no-objection by the BankAssociation.
2. The Borrower shall, throughout Recipient shall ensure that no activities are undertaken under the implementation of the CERC Contingent Emergency Response Part, maintain the Coordinating Authority, with adequate staff and resources satisfactory to the Bank.
3. The Borrower shall undertake no activities under the CERC Part (and no activities shall be included in the CERC Part) unless and until the following conditions have been met in respect of said activities:
(a) the Borrower Recipient has determined that an Eligible Crisis or Emergency has occurred, has furnished to the Bank Association a request to include said activities in the CERC Contingent Emergency Response Part in order to respond to said Eligible Crisis or Emergency, and the Bank Association has agreed with such determination, accepted said request and notified the Borrower Recipient thereof; and;
(b) the Borrower The Recipient has prepared and disclosed all safeguards instruments required furnished to the Association for said activitiesits review and approval, in accordance with the CERC Operations Manualprovisions set forth in the CERM, a Contingent Emergency Response Implementation Plan (“CERIP”) which shall set forth detailed arrangements for the activation of Contingent Emergency Response Part, including: (i) specific activities to be financed out of the Emergency Expenditures; (ii) itemized costs for each expenditure item; (iii) implementation arrangements for the Contingent Emergency Response Part, as defined in the CERM or with proposed amendments; (iv) procurement plan for the Contingent Emergency Response Part; (v) details regarding compliance with safeguard instruments; and (vi) any other arrangements necessary to ensure proper implementation of the Contingent Emergency Response Part; and
(c) all safeguard instruments as may be required for said activities have been prepared and disclosed in accordance with the CERM, the Bank Association has approved all such instruments, and the Borrower Recipient has implemented ensured the implementation of any actions which are required to be taken under said instruments.
43. The Recipient shall, throughout the period of implementation of the Contingent Emergency Response Part, maintain the Coordinating Authority, with adequate staff and resources satisfactory to the Association.”
5. The table in paragraph 2 of Section IV.A of Schedule 2 is deleted in its entirety and replaced to read as follows: Category Amount of the Credit Allocated (expressed in SDR) Percentage of Expenditures required for the CERC Part to be Financed (inclusive of Taxes)

3. The Borrower shall undertake ensure that no activities are undertaken under the CERC Part (and no activities shall be included in the CERC Part) Contingent Emergency Response Component, unless and until the following conditions have been met in respect of said activities:
(a) the Borrower has determined that an Eligible Crisis or Emergency has occurred, has furnished to the Bank a request to include said activities in the CERC Part Contingent Emergency Response Component in order to respond to said Eligible Crisis or Emergency, and the Bank has agreed with such determination, accepted said request and notified the Borrower thereof; and
(b) the Borrower has prepared ensured the disclosure of all environmental and disclosed all safeguards instruments social instruments/plans required for said activities, in accordance with the CERC Operations Manual, the Bank Borrower has approved all such instruments, and the Borrower has implemented ensured the implementation of any actions which are required to be taken under said instruments.
43. Notwithstanding any provision to the contrary in this Section, Emergency Expenditures required for the CERC Part activities included in Component 4 of the Project shall be procured in accordance with the procurement methods and procedures set forth in the CERC Operations ManualCERIP.

(d) ensure that the CERC Part Emergency Response Component is carried out in accordance with the CERC Operations ManualManual and the Emergency Action Plan; provided, however, that in the event of any inconsistency between the provisions of the CERC Operations Manual or the Emergency Action Plan and this Agreement, the provisions of this Agreement shall prevail; and
(ed) not amend, suspend, abrogate, repeal or waive any provision of neither the CERC Operations Manual nor the Emergency Action Plan is amended, suspended, abrogated, repealed or waived without the prior written approval by the BankAssociation.
2. The Borrower shall, Recipient shall ensure that the structures and arrangements referred to in the CERC Manual are maintained throughout the implementation of the CERC Part, maintain the Coordinating AuthorityContingent Emergency Response Component, with adequate staff and resources satisfactory to the BankAssociation.
3. The Borrower Recipient shall undertake no activities under the CERC Part (and no activities shall be included in the CERC Part) unless and until the following conditions have been met in respect of said activitiesensure that:
(a) the Borrower has determined that environmental and social instruments required for the Contingent Emergency Response Component are prepared, disclosed and adopted in accordance with the CERC Manual and application of the Safeguard Instruments and any other relevant safeguard instrument in form and substance acceptable to the Association; and
(b) the Contingent Emergency Response Component is carried out in accordance with the environmental and social instruments in a manner acceptable to the Association.
4. Activities under the Contingency Emergency Response Component shall be undertaken only after an Eligible Crisis or Emergency has occurred, has furnished .”
3. The withdrawal table under Section III of Schedule 2 to the Bank a request Financing Agreement is amended and attached as Annex-2 to include said activities in the CERC Part in order to respond to said Eligible Crisis or Emergency, and the Bank has agreed with such determination, accepted said request and notified the Borrower thereof; and
(b) the Borrower has prepared and disclosed all safeguards instruments required for said activities, in accordance with the CERC Operations Manual, the Bank has approved all such instruments, and the Borrower has implemented any actions which are required to be taken under said instrumentsthis amendment letter.
4. Emergency Expenditures required for Section III.B.1. of Schedule 2 to the CERC Financing Agreement is amended to read as follows: “

(b) the Borrower has prepared and disclosed all safeguards instruments required for said activities, Contingent Emergency Response Part is carried out in accordance with the CERC Operations Manual, environmental and social instruments in a manner acceptable to the Bank has approved all such instruments, and the Borrower has implemented any actions which are required to be taken under said instrumentsBank.
4. Emergency Expenditures required for the CERC Part of the Project shall be procured in accordance with the procurement methods and procedures set forth in the CERC Operations Manual.
