Common use of Continuation of Elections Clause in Contracts

Continuation of Elections. (a) As of the Plan Split Date, TimkenSteel has caused the TimkenSteel Spinoff Retiree Welfare Plans to recognize elections and designations (including, without limitation, all coverage and contribution elections and beneficiary designations, all continuation coverage and conversion elections, and all qualified medical child support orders and other orders issued by courts of competent jurisdiction) in effect with respect to Former TimkenSteel Business Employees prior to the Plan Split Date under the corresponding Split Retiree Welfare Plan, to the extent such elections and designations and orders are applicable to such Split Retiree Welfare Plan, and will continue to apply and maintain in force comparable elections and designations and orders under the TimkenSteel Spinoff Retiree Welfare Plans for the remainder of the period or periods for which such elections or designations are by their terms effective. (b) As of the Distribution Date, or Applicable Transfer Date, TimkenSteel will cause the TimkenSteel Spinoff Welfare Plans to recognize elections and designations (including, without limitation, all coverage and contribution elections and beneficiary designations, all continuation coverage and conversion elections, and all qualified medical child support orders and other orders issued by courts of competent jurisdiction) in effect with respect to TimkenSteel Employees and Former TimkenSteel Business Employees prior to the Distribution Date, or Applicable Transfer Date, under the corresponding Split Welfare Plan, to the extent such elections and designations and orders are applicable to such Split Welfare Plan, and apply and maintain in force comparable elections and designations and orders under the TimkenSteel Spinoff Welfare Plans for the remainder of the period or periods for which such elections or designations are by their original terms effective.

(b) As of the Distribution Plan Split Date, or Applicable Transfer Date, TimkenSteel Manitowoc Foodservice will cause the TimkenSteel Manitowoc Foodservice Spinoff Welfare Plans to recognize elections and designations (including, without limitation, all coverage and contribution elections and beneficiary designations, all continuation coverage and conversion elections, and all qualified medical child support orders and other orders issued by courts of competent jurisdiction) in effect with respect to TimkenSteel Manitowoc Foodservice Group Employees and Former TimkenSteel Foodservice Business Employees prior to the Distribution Plan Split Date, or Applicable Transfer Date, under the corresponding Split Welfare Plan, to the extent such elections and designations and orders are applicable to such Split Welfare Plan, and apply and maintain in force comparable elections and designations and orders under the TimkenSteel Manitowoc Foodservice Spinoff Welfare Plans for the remainder of the period or periods for which such elections or designations are by their original terms effective.

(a) As With respect to Wireline Participants, as of the Plan Split Welfare Plans Transition Date, TimkenSteel has caused Wireline (acting directly or through a member of the TimkenSteel Spinoff Retiree Wireline Group) shall cause each Wireline Welfare Plans Plan to recognize all elections and designations (including, without limitation, including all coverage and contribution elections and beneficiary designations) made by Wireline Participants under, all continuation coverage and conversion elections, and all qualified medical child support orders and other orders issued by courts of competent jurisdiction) in effect or with respect to Former TimkenSteel Business Employees prior to to, the Plan Split Date under Wireline Welfare Plans or the corresponding Split Retiree NTELOS Welfare Plan, to the extent as applicable, and apply such elections and designations and orders are applicable to such Split Retiree Welfare Plan, and will continue to apply and maintain in force comparable elections and designations and orders under the TimkenSteel Spinoff Retiree Wireline Welfare Plans for the remainder of the period or periods for which such elections or designations are by their terms effective. (b) As of the Distribution Date, or Applicable Transfer Date, TimkenSteel will cause the TimkenSteel Spinoff Welfare Plans to recognize elections and designations (including, without limitation, all coverage and contribution elections and beneficiary designations, all continuation coverage and conversion elections, and all qualified medical child support orders and other orders issued by courts of competent jurisdiction) in effect with respect to TimkenSteel Employees and Former TimkenSteel Business Employees prior to the Distribution Date, or Applicable Transfer Date, under the corresponding Split Welfare Plan, to the extent such elections and designations and orders are applicable to such Split Welfare Plan, and apply and maintain in force comparable elections and designations and orders under the TimkenSteel Spinoff Welfare Plans Plan for the remainder of the period or periods for which such elections or designations are by their original terms effectiveapplicable, to the extent an election or designation made under a particular NTELOS Welfare Plan is available under the corresponding Wireline Welfare Plan. With respect to each Delayed Transfer Employee, as of such Delayed Transfer Employee’s Transfer Date, Wireline (acting directly or through a member of the Wireline Group) shall cause each Wireline Welfare Plan to recognize all elections and designations (including all coverage and contribution elections and beneficiary designations) made by such Delayed Transfer Employee under, or with respect to, the corresponding NTELOS Welfare Plan and apply such elections and designations under the Wireline Welfare Plan for the remainder of the period or periods for which such elections or designations are by their original terms applicable, to the extent such election or designation is available under the corresponding Wireline Welfare Plan with respect to each NTELOS Delayed Transfer Employee, as of such NTELOS Delayed Transfer Employee’s Transfer Date. NTELOS (acting directly or through a member of the NTELOS Group) shall cause each NTELOS Welfare Plan to recognize all elections and designations (including all coverage and contribution elections and beneficiary designations ) made by such NTELOS Delayed Transfer Employee under, or with respect to, the corresponding Welfare Plan and apply such elections and designations under the NTELOS Welfare Plan for the remainder of the period or periods for which such elections or designations are by their original terms applicable, to the extent such election or designation is available under the corresponding NTELOS Welfare Plan.
