Benefit Elections and Designations. As of January 1, 2015, KLX shall cause the KLX Welfare Plans to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each KLX Employee under, or with respect to, the corresponding B/E Welfare Plan for the plan year in which the Distribution occurs. Notwithstanding the foregoing, nothing in this Section 4.01 will prohibit KLX from soliciting or causing the solicitation of new election forms or beneficiary designations from KLX Employees to be effective under the KLX Welfare Plan as of January 1, 2015.
Benefit Elections and Designations. As of the first day of the month after the month in which the Distribution occurs, or if later, the Allegion Welfare Plan Implementation Date (or such other date provided for under Section 9.3(b)), Allegion shall cause the Allegion Welfare Plans to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each Allegion Welfare Plan Participant under, or with respect to, the annual enrollment conducted on behalf of the Allegion Welfare Plan by IR. Notwithstanding the foregoing, nothing in this Section 9.3(a) will prohibit Allegion from soliciting or causing the solicitation of new election forms or beneficiary designations from Allegion Welfare Plan Participants to be effective under the Allegion Welfare Plan as of January 1, 2014.

From and after the Effective Time, CRC or the appropriate CRC Entity shall cause each CRC Welfare Plan to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each CRC Welfare Plan Participant under, or with respect to, the corresponding OPC Welfare Plan for the plan year in which the Distribution Date occurs. Notwithstanding the foregoing, nothing in this Section 9.5(a) will prohibit CRC from soliciting or causing the solicitation of new election forms or beneficiary designations from CRC Welfare Plan Participants to be effective under the CRC Welfare Plan as of the Distribution Date or any time thereafter.

As of the Employee Transfer Date (or such other date provided for under subsection 7.4(b)), SpinCo has caused the SpinCo Welfare Plans to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each SpinCo Welfare Plan Participant under, or with respect to, the corresponding RemainCo Welfare Plan for plan year 2015.

As of the first day of the month after the month in which the Distribution occurs (or such other date provided for under Section 8.3(b)), Xxxxxxxx 66 shall cause the Xxxxxxxx 66 Welfare Plans to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each Xxxxxxxx 66 Welfare Plan Participants under, or with respect to, the corresponding COP Welfare Plan for the plan year in which the Distribution occurs. Notwithstanding the foregoing, nothing in this Section 8.3(a) will prohibit Xxxxxxxx 66 from soliciting or causing the solicitation of new election forms or beneficiary designations from Xxxxxxxx 66 Welfare Plan Participants to be effective under the Xxxxxxxx 66 Welfare Plan as of the first day of the month after the month in which the Distribution occurs.

As of the first day of the month after the month in which the Distribution occurs, or if later, the Xxxxxxx Electronics Welfare Plan Implementation Date (or such other date provided for under Section 8.3(b)), Xxxxxxx Electronics shall cause the Xxxxxxx Electronics Welfare Plan to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each Xxxxxxx Electronics Welfare Plan Participant under, or with respect to, the annual enrollment conducted on behalf of the Xxxxxxx Electronics Welfare Plan by Xxxxxxx International. Notwithstanding the foregoing, nothing in this Section 8.3(a) will prohibit Xxxxxxx Electronics from soliciting or causing the solicitation of new election forms or beneficiary designations from Xxxxxxx Electronics Welfare Plan Participants to be effective under the Xxxxxxx Electronics Welfare Plan as of January 1, 2015.
Benefit Elections and Designations. As of the first day of the 2016 Plan Year, HERC Holdings shall cause the HERC Holdings Spinoff Welfare Plans to recognize and give effect to all elections (including all coverage and contribution elections) made or deemed to be made by each HERC Holdings Spinoff Welfare Participant during annual enrollment for the 2016 Plan Year. Notwithstanding the foregoing, New Hertz Holdings shall transfer and HERC Holdings shall recognize and give effect to beneficiary designations made by a HERC Holdings Spinoff Welfare Participant, to the extent that such beneficiary designations are (i) on file at the third party administrator of the New Hertz Holdings Welfare Plans prior to the Distribution, or (ii) transferred by New Hertz Holdings to HERC Holdings prior to the Distribution. After the Distribution, and subject to applicable law, New Hertz Holdings shall not be required to maintain paper records of beneficiary designations made before the Distribution by HERC Holdings Spinoff Welfare Plan Participants.

As of the Distribution Date (or such other date provided for under Section 8.3(b)), Civeo shall cause each Civeo Welfare Plan to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each Civeo Welfare Plan Participant under, or with respect to, the corresponding OS Welfare Plan for the plan year in which the Distribution occurs. Notwithstanding the foregoing, nothing in this Section 8.3(a) will prohibit Civeo from soliciting or causing the solicitation of new election forms or beneficiary designations from Civeo Welfare Plan Participants to be effective under the Civeo Welfare Plan as of the Distribution Date or any time thereafter.

As of the Employee Transfer Date (or such other date provided for under this Agreement), RemainCo has caused the RemainCo Welfare Plans to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each RemainCo Welfare Plan Participant under, or with respect to, the corresponding SpinCo Welfare Plan for plan year which includes the Distribution Date.
Benefit Elections and Designations. As of the Distribution Date, Flowco shall cause the Flowco Welfare Plans to recognize and give effect to all elections and designations (including all coverage and contribution elections and beneficiary designations) made by each Flowco Employee under, or with respect to, the corresponding SPX Welfare Plan for the plan year in which the Distribution Date occurs (and for the next plan year to the extent the Distribution Date occurs after the open enrollment period such plan year). As of the Distribution Date, Flowco shall cause any Flowco Welfare Plan that constitutes a cafeteria plan under Section 125 of the Code to recognize and give effect to all non-elective employer contributions payable and paid toward coverage of a Flowco Employee under the corresponding SPX Welfare Plan that constitutes a cafeteria plan under Section 125 of the Code for the applicable cafeteria plan year. Notwithstanding the foregoing, nothing in this Section 5.01 will prohibit Flowco from soliciting or causing the solicitation of new election forms or beneficiary designations from Flowco Employees to be effective under any applicable Flowco Welfare Plan as of the Distribution Date.
