Continuation of or Change in Business. Each of the Loan Parties shall not, and shall not permit any of its Subsidiaries to, engage in any business other than the development, manufacturing, sales and administration of safety products and related items, substantially as conducted and operated by such Loan Party or Subsidiary during the present fiscal year and businesses substantially related, incidental or ancillary thereto.

Each of the Loan Parties shall not, and shall not permit any of its Subsidiaries to, engage in any business other than the development, manufacturingmanufacture, sales marketing and administration servicing of safety a variety of medical devices, instruments and medical and surgical products for use in the respiratory, neurocare and related items, medical and surgical product markets substantially as conducted and operated by such Loan Party or Subsidiary during the present fiscal year or as now planned, and businesses substantially related, incidental such Loan Party or ancillary theretoSubsidiary shall not permit any material change in such business.

Each of the Loan Parties shall not, and shall not permit any of its Subsidiaries to, directly or indirectly, engage in any business business, other than the development, manufacturing, sales and administration of safety products and related items, substantially as conducted and operated by such Loan Party or Subsidiary entity during the present fiscal year and businesses substantially related, incidental or ancillary theretoyear.
