Common use of Continuation of the Partnership Clause in Contracts

Continuation of the Partnership. The Partnership was organized as a Delaware limited partnership by the filing of the Certificate of Limited Partnership of the Partnership (the “Certificate”) in the office of the Secretary of State pursuant to the Act on June 9, 2014. The Partners desire to continue the Partnership for the purposes and upon the terms and conditions hereinafter set forth. Except as provided herein, the rights, duties and liabilities of each Partner shall be as provided in the Act.

Continuation of the Partnership. The Partnership was organized formed as a Delaware limited partnership on January 10, 2018 by the filing of the Certificate of Limited Partnership of the Partnership (the “Delaware Certificate”) in the office of the Secretary of State pursuant to the Act on June 9, 2014. The Partners desire to continue the Partnership for the purposes and upon the terms and conditions hereinafter set forthforth herein. As of the Effective Date, the General Partner, Parent and the holders of Class B Interests party to this Agreement constitute all of the Partners of the Partnership. Except as provided herein, the rights, duties and liabilities of each Partner shall will be as provided in the Act.

Continuation of the Partnership. The Partnership was organized as a Delaware limited partnership by the filing of the Certificate of Limited Partnership of the Partnership (the “Certificate”) in the office of the Secretary of State pursuant to the Act on June 9February 11, 20142016. The Partners desire to continue the Partnership for the purposes and upon the terms and conditions hereinafter set forth. Except as provided herein, the rights, duties and liabilities of each Partner shall be as provided in the Act.

Continuation of the Partnership. The Partnership was organized formed as a Delaware limited partnership under the Delaware Act (as defined below) by the filing of the Certificate of Limited Partnership of the Partnership (with the “Certificate”) in the office Office of the Secretary of State pursuant to the Act of Delaware on June 9March 8, 20141994. The Partners desire parties hereto agree to continue the Partnership for the purposes and upon the terms and conditions hereinafter set forth. Except as provided herein, the rights, duties and liabilities of each Partner shall be as provided in the ActPartnership.
