CONTINUED EFFECTIVENESS OF NOTE AGREEMENT. Except as specifically amended herein, the Note Agreement and the other Transaction Documents are, and shall remain, in full force and effect, and are hereby ratified and confirmed in all respects except that on and after the Amendment No. 2 Effective Date all references to the Note Agreement shall mean the Note Agreement as amended and supplemented by this Amendment No. 2.

Subject to Section 2.02(d), the Company shall not be deemed to have used its reasonable best efforts to keep the Shelf Registration Statement effective during the Shelf Period if the Company voluntarily takes any action or omits to take any action that would result in Shelf Holders not being able to offer and sell any Registrable Securities pursuant to such Shelf Registration Statement during the Shelf Period, unless such action or omission is (x) a Shelf Suspension permitted pursuant to Section 2.02(d) or (y) required by applicable law, rule or regulation.

  • Conditions to Effectiveness of Amendment This Amendment shall become effective on the date on which the following conditions precedent have been satisfied or waived (the “Amendment Effective Date”):
