Note Agreement definition

Note Agreement hereunder," "hereof," "herein," or words of like import referring to the Note Agreement, shall mean and be a reference to the Note Agreement, as amended hereby.

Note Agreement means that certain Note Purchase Agreement, dated as of October 15, 2001, by and among the Company, as the issuer of the Senior Notes, and the Senior Noteholders, as the same may be amended, restated, supplemented, or otherwise modified from time to time.

Note Agreement has the meaning set forth in the recitals hereto.

Examples of Note Agreement in a sentence

Except as specifically set forth in Section 1 hereof, the Note Agreement shall remain in full force and effect and is hereby ratified and confirmed in all respects.
This Amendment is not intended by the parties to be, and shall not be construed to be, a novation of the Note Agreement or an accord and satisfaction in regard thereto.
From and after the date hereof, all references to the Note Agreement shall mean the Note Agreement as modified by this Amendment.
This Amendment shall constitute a Note Document for all purposes of the Note Agreement.
The execution, delivery and effectiveness of this Amendment shall not, except as expressly provided herein, operate as a waiver of any right, power or remedy of the holders of the Notes under the Note Agreement, nor constitute a waiver of any provision of the Note Agreement.

Note Agreement shall have the meaning assigned thereto in the Recitals hereof.

Note Agreement means any agreement pursuant to which this Note was issued and any other present or future agreement or instrument from time to time entered into among the Company or any other Obligor relating to, amending or modifying such agreement referred to above, each as from time to time in effect.

Note Agreement as used in the Lease as amended hereby and as may be further amended or modified shall mean that certain Note Purchase Agreement dated as of April 22, 1999 among Landlord, Tenant and the Purchasers (as such term is defined in the Note Purchase Agreement) and any and all existing and future modifications, amendments and/or supplements thereto.

Note Agreement means that certain Amended and Restated Note Purchase and Private Shelf Agreement dated as of November 3, 2011, by and among the Operating Partnership, the Parent Guarantor, each of the entities party thereto from time to time as Subsidiary Guarantors (as defined therein), PIM, and the note purchasers party thereto or bound thereby from time to time, as amended to date and as further amended from time to time.

Note Agreement means that certain Note Agreement Re: $40,000,000 7.20% Senior Notes Due August 8, 2005, dated as of August 1, 1995, entered into by the Parent and the "Purchasers" party thereto and each other agreement, document, or instrument entered into or delivered in connection therewith, as such agreements, documents, and instruments may be amended, restated, or otherwise modified from time to time.

Note Agreement has the meaning specified for such term in the Recitals hereto.
