Common use of Continuity and Suspension of Service Clause in Contracts

Continuity and Suspension of Service. Each Party shall exercise reasonable care and foresight to maintain continuity of service as provided in this Agreement, but neither Party shall be considered in Default (hereinafter defined) in respect of any obligation hereunder if prevented from fulfilling such obligation by reason of Force Majeure as defined in Article 11 below. In no event shall either Party be liable to the other Party for loss or damage arising from failure, interruption or suspension of service. Each Party reserves the right to suspend service without liability at such times and for such periods and in such manner as it deems advisable, including, without limitation, suspensions for the purpose of making necessary adjustments to, changes in, or repairs on, its facilities, and suspensions in cases where, in its sole opinion, the continuance of service to the other Party would endanger person or property. Both Parties shall use their best efforts to provide each other with reasonable notice in the event of suspension of service.
