Common use of Continuity of Obligations Clause in Contracts

Continuity of Obligations. All obligations and joint and several liabilities of Party A hereunder shall be continuous and shall have full binding force upon its successor, receiver, assignee and the subject after change of form of organization or name, combination or separation. Such obligations and liabilities shall never be affected by any dispute, claim and the legal proceeding and any directive of the superior units and any contract and document concluded between Party A under the main contract and any natural person or legal person or be changed due to the bankruptcy or reorganization of Party A, insolvency, deprivation of corporate capacity, change of the articles of association and any modification in essence.

Continuity of Obligations. 11.1 All the obligations and joint and several liabilities of Party A hereunder shall be continuous and shall have full binding force fully bound upon its successor, receivertakeover person, assignee transferee and the subject entities after the consolidation, restructuring or name change of form of organization or namefrom it, combination or separation. Such obligations and liabilities shall never will not be affected by any dispute, claim and the legal proceeding and proceedings as well as any directive order of the superior units entity and any contract and or document concluded between Party A under as entered into by the main contract Debtor of the Main Contract and any natural person or legal person or be changed person, and will not change in any aspect due to bankruptcy, inability to repay the bankruptcy or reorganization loan, loss of Party A, insolvency, deprivation of corporate business capacity, change modification of the articles of association and any modification change in essencenature on the part of the Debtor.
