Contract Manufacturing Services. During the OnQ Manufacturing Period, Aerogen shall provide to MIA and MIA agrees to accept from Aerogen contract manufacturing services for the manufacture of MIA’s requirements of OnQ Aerosol Generators (subject to the forecasts in Exhibit F) at the OnQ Aerosol Generator Manufacturing Facility using the Equipment (the “Services”). In connection with the Services, Aerogen shall: (i) provide and supervise appropriately trained personnel resources necessary to manufacture MIA’s requirements of OnQ Aerosol Generators (but not to exceed that number of manufacturing personnel employed by Aerogen as of the Effective Date in conducting its manufacture of OnQ Aerosol Generators at the OnQ Aerosol Generator Manufacturing Facility at its location as of the Effective Date unless additional personnel are necessary to satisfy MIA’s requirements for quantities of OnQ Aerosol Generators set forth in the forecasts and purchase orders provided by MIA in accordance with Sections 4.1 and 4.2); and (ii) maintain the Equipment at the OnQ Aerosol Generator Manufacturing Facility in good working condition; and (iii) if applicable, transfer manufacturing activities, including moving all Equipment, to the new location for the OnQ Aerosol Generator Manufacturing Facility, if such location is agreed to and secured by the Parties pursuant to Section 3.9. The methods, details and means of performing such services will be determined by Aerogen in its reasonable discretion. In connection with the Services, Aerogen will be solely responsible for all monthly expenses associated with the current OnQ Aerosol Generator Manufacturing Facility, including without limitation, all rents, taxes, equipment maintenance, payroll and employee benefit and insurance expenses, utilities, and phone charges. In the event of commencement of bankruptcy proceedings against Aerogen, MIA’s right to access and use the Equipment, and to manufacture the OnQ Aerosol Generator shall not be limited, prohibited, or encumbered by Aerogen. The terms and conditions of Article 4 shall apply to the order, purchase and delivery of OnQ Aerosol Generators manufactured by Aerogen pursuant to the Services. OnQ Aerosol Generators manufactured by Aerogen in the course of providing the Services shall meet the OnQ Aerosol Generator Specifications set forth in Exhibit A and shall be subject to the warranty set forth in Section 9.4.

Contract Manufacturing Services. 2.1 Zicon shall provide Voltaire the Contract Manufacturing Services for any Product, as determined by Voltaire from time to time. Zicon shall not subcontract the Contract Manufacturing Services or any part thereof to any third party without Voltaire's prior consent in writing.

Contract Manufacturing Services. 4.1 Manufacturing Obligation: Pursuant to the terms and conditions of this Agreement, OSGP shall manufacture, package, distribute, and ship to P&G, and P&G shall purchase and receive from OSGP, packaged finished goods, sample packs, semi-finished goods, and Materials of the Products. OSGP is responsible for Contract Manufacturing Services in the production and distribution of such Products. OSGP’s obligation to supply Contract Manufacturing Services shall include the obligation to use necessary efforts (including, but not limited to, working extra hours, shifts, or days) to supply, in any three (3) month period, Products ordered by P&G up to [*****] of volume on a Unit basis of P&G’s most recent forecast submitted for such three (3) month period pursuant to Article 5.2, unless mutually agreed to plans documented in SLEA’s for a specific Product(s) or Unit(s) dictate a higher percentage number is appropriate for these Product(s) or Unit(s). All costs for such necessary effort will be at OSGP’s expense. OSGP shall use its reasonable commercial efforts to satisfy orders for Product quantities in any three (3) month period in excess of [*****] of volume on a Unit basis of P&G’s most recent forecast submitted for such three (3) month period pursuant to Article 5.2, unless mutually agreed to plans documented in SLEA’s for a specific Product(s) or Unit(s) dictate a higher or lower percentage number is appropriate for these Product(s) or Unit(s).

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil. Company shall be solely responsible for the sufficiency and adequacy of the Specifications [***].

  • Manufacturing (a) The Supplier shall without limitation be responsible, at no additional cost to the Purchaser, for: sourcing and procuring all raw materials for the Products; obtaining all necessary approvals, permits and licenses for the manufacturing of the Products; providing sufficient qualified staff and workers to perform the obligations under this Purchase Agreement; implementing and maintaining effective inventory and production control procedures with respect to the Products; and handling other matters as reasonably requested by the Purchaser from time to time.

  • TECHNICAL SUPPORT SERVICES 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.

  • Engineering Services Definition: Engineering Services includes any service or creative work, the adequate performance of which requires education, training and experience in the application of special knowledge in consulting, investigating, evaluating, planning and designing, engineering principles. Engineering Services covered by the Xxxxxx Architect-Engineers Act (40 U.S.C. 1102) are not covered in the primary scope of OASIS SB. Examples: Service areas that are included under the Engineering Services discipline include, but are not limited to the following:

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include:

  • Manufacturing and Supply Genentech shall be responsible for manufacturing and supplying Licensed Products for clinical use and commercial sale in the Genentech Field.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.
