Contractor’s Certificate. If required by Lender, a certificate signed by each major contractor and supplier of materials, as reasonably determined by Lender, engaged to provide labor or materials for the Repairs to the effect that such contractor or supplier has been paid in full for all work completed and that the portion of the Repairs provided by such contractor or supplier has been fully completed in accordance with the plans and specifications (if any) provided to it by Borrower and that such portion of the Repairs is in compliance with all applicable building codes and other rules and regulations promulgated by any applicable regulatory authority or Governmental Authority.

Contractor’s Certificate. If required by Lender, a certificate signed by each major contractor and supplier of materials (for the purposes hereof, a major contractor is one whose contract calls for the performance of work estimated to cost $25,000 or more, and a major supplier is one who will, in the course of the performance of the Repairs, supply materials with a cost to Borrower of $25,000 or more), as reasonably determined by Lender, engaged to provide labor or materials for the Repairs to the effect that such contractor or supplier has been paid in full for all work completed and that the portion of the Repairs provided by such contractor or supplier has been fully completed in accordance with the plans and specifications (if any) provided to it by Borrower and that such portion of the Repairs is in compliance with all applicable building codes and other rules and regulations promulgated by any applicable regulatory authority or Governmental Authority.
Contractor’s Certificate. Lien waivers signed by each contractor and supplier of materials engaged to provide labor or materials for the Improvements whose contract is in an amount greater than or equal to $25,000 (or as reasonably determined by Xxxxxxx Mac) which state that such contractor or supplier has been paid in full for all work completed and that the portion of the Improvements provided by such contractor or supplier has been fully completed in accordance with the plans and specifications (if any) provided to it by Borrower and that such portion of the Improvements is in compliance with all Applicable Legal Requirements.

Seller has advised Contractor that Seller intends to sell the Property to ____________, a ____________ (the “Purchaser”), on a closing date of _____________ (the “Closing Date”) and, in connection with such purchase by Purchaser of the Property, Seller intends to transfer and assign the Construction Contract to Purchaser and all of Seller’s rights and obligations thereunder. In connection with Seller’s transfer of the Property to Purchaser and Seller’s assignment of the Construction Contract to Purchaser, Contractor certifies and represents the following:

Contractor’s Certificate. The Contractor shall have delivered to the Administrative Agent a certificate not more than (5) five Business Days prior to the Closing Date stating that as of such date (a) the Project Company is not in default under the EPC Contract, (b) no change orders are required as of such date under the EPC Contract other than change orders which have been delivered to the Administrative Agent and reviewed and approved by the Independent Engineer, (c) to the best of its knowledge, after due inquiry, no Force Majeure Event (as defined in the EPC Contract) has occurred and is continuing under the EPC Contract and (d) the Contractor has received and accepted the Full Release from the Project Company.
Contractor’s Certificate. The Project Company shall have delivered to the Administrative Agent a certificate from the Contractor stating that the Contractor has paid its direct subcontractors all amounts (other than those amounts being contested in good faith) then owing to such subcontractors.
