Contracts; Disclosure. Except as set forth in Schedule 3.17 there is not outstanding:

Contracts; Disclosure. Set forth on Schedule Fis a list of all ---------- contracts of Seller. Each contract is a valid and binding obligation of the parties thereto, enforceable in accordance with its terms, and in full force and effect. No party to any contract is in breach or violation thereof or default thereunder. No event has occurred which, through the passage of time or the giving of notice, or both, would constitute, and neither the execution of this Agreement nor the Closing do or will constitute or result in, a breach or violation of or default under any contract, or would cause the acceleration of any obligation of any party thereto or the creation of a lien upon any Purchased Asset. Each such contract will be duly assigned to Buyer on the Closing Date and upon such assignment, Buyer will acquire all right, title and interest of Seller in and to such contract and will be substituted for Seller under the terms of such contract. Except as set forth on Schedule F, no consent is required for ---------- such assignment.
Contracts; Disclosure. There is no franchise, contract or other document of a character required to be described in the Registration Statement or Prospectus, or to be filed as an exhibit thereto, which is not described or filed as required. The franchises, contracts and other documents so described in or filed with the Registration Statement or Prospectus to which the Company is a party have been duly authorized, executed and delivered by the Company, constitute valid and binding agreements of the Company, and are enforceable against and, to the Company’s knowledge by, the Company in accordance with their respective terms, except as enforcement may be limited by general principles of equity whether applied in a court of law or a court of equity and by bankruptcy, insolvency and similar laws affecting creditors’ rights and remedies generally. To the Company’s knowledge, no other party is in breach of or default under any of such franchises, contracts or other documents, which breach would cause a Material Adverse Effect.
