Contractual Rights to Royalty Interest. Other than in connection with the Initial Transactions, Seller (i) is the exclusive owner of Seller's entire right and interest in, to and under the GGL Agreements and the Royalty Interest, free and clear of all Encumbrances other than Permitted Encumbrances and (ii) has not assigned or granted to any Third Party any right or interest (including payments or proceeds) in or to any Royalty Interest beneficially or otherwise.
