Compliance with Trust Agreement. Each of Owner Participant, Owner Trustee and Trust Company agrees (a) to comply with all of the terms of the Trust Agreement (as the same may hereafter be amended or supplemented from time to time in accordance with the terms thereof and clause (b) of this Section 6.4.6) applicable to it, (b) not to amend, supplement or otherwise modify any provision of the Trust Agreement without Lessee’s prior written consent (such consent not to be unreasonably withheld) and (c) notwithstanding anything to the contrary contained in the Trust Agreement, not to terminate or revoke the Trust Agreement or the trusts created by the Trust Agreement without Lessee’s prior written consent (such consent not to be unreasonably withheld).
Compliance with Trust Agreement. The Trustee will not execute or deliver any Certificates in any manner other than in accordance with the provisions hereof, and the Corporation and the City will not suffer or permit any default by them to occur hereunder, but will faithfully comply with, keep, observe and perform all the agreements, conditions, covenants and terms hereof required to be complied with, kept, observed and performed by them.
Compliance with Trust Agreement. Beneficiary further agrees with the Lessee that so long as the Lease and the Trust Agreement are in effect it will (I) comply with all of the terms of the Trust Agreement applicable to it noncompliance with which would materially adversely affect the Lessee and (II) not take any action, or cause any action to be taken, to amend, modify or supplement any other provision of the Trust Agreement in a manner that would materially adversely affect the Seller without the prior written consent of the Lessee. Notwithstanding anything else to the contrary in the Trust Agreement, so long as the Lease remains in effect, the Beneficiary agrees not to terminate or revoke the trust created by the Trust Agreement without the consent of the Lessee.
Compliance with Trust Agreement. During the Term of this Lease, the Council agrees to perform all obligations imposed upon it by the Trust Agreement.
Compliance with Trust Agreement. Purchaser shall not, and shall instruct the Trustee not to, request any information regarding the payments made into the Account before the time specified in Section 2.5 of the Trust Agreement.
Compliance with Trust Agreement. Each of WFB and the Owner Trustee agrees with the Lessee that so long as this Lease shall be in effect it will (i) comply with all of the terms of the Trust Agreement applicable to it in its respective capacity, the noncompliance with which would materially adversely affect Lessee and (ii) not take any action, or cause any action to be taken, to amend, modify or supplement any other provision of the Trust Agreement in a manner that would materially adversely affect Lessee without the prior written consent of Lessee.
Compliance with Trust Agreement. (a) The Initial Beneficiary and each Trust hereby agrees, confirms, represents and warrants that the Merger complies with Section 2.11(a)(v) of the Target Trust Agreement, including that:

In performing its duties generally, and more particularly in connection with the purchase, sale and exchange of securities made by or for the Fund, State Street may take cognizance of the provisions of the Trust Agreement and By-Laws of the Fund as from time to time amended; however, except as otherwise expressly provided herein, it may assume unless and until notified in writing to the contrary that instructions purporting to be proper instructions received by it are not in conflict with or in any way contrary to any provision of the Trust Agreement and By-Laws of the Fund, as from time to time amended, or resolutions or proceedings of the Trustees of the Fund.
Compliance with Trust Agreement. The Trustee will not execute or deliver any Note Participations in any manner other than in accordance with the provisions hereof; and the Local Agencies will not suffer or permit any default to occur hereunder, but will faithfully observe and perform all the agreements, conditions, covenants and terms contained herein required to be observed and performed by them.
