Contributing Party's Representation and Warranties. To induce the Starwood Parties to enter into this Agreement each Contributing Party makes the following representations and warranties on behalf of such Contributing Party, and on behalf of or with respect to the Property Company in which such Contributing Party owns Property Company Interests all of which (i) are now true, and (ii) except as expressly provided herein to the contrary, shall be true as of Closing, subject, in each case, to the exceptions set forth on the Schedules attached to this Agreement and on any supplemental schedules thereof as may be delivered to the Starwood Parties prior to the Closing, provided, however, that:
