Contribution and Acceptance. In accordance with the terms and subject to the conditions set forth in this Agreement:
Contribution and Acceptance. Contributor agrees to contribute the Property to Partnership, and Partnership agrees to accept the Property upon and subject to all of the terms, covenants and conditions set forth in this Agreement.

Notwithstanding the foregoing, Xxxx X. Xxxxx shall have the right to purchase a thirty-eight one-hundredths percent (0.38%) limited liability company membership interest in the Company at Closing for One Hundred Thousand and 00/100 Dollars ($100,000.00), which shall be paid by Xxxx X. Xxxxx within five (5) business days after the Closing Date.
Contribution and Acceptance. Parent hereby contributes, conveys, transfers and delivers to Holdings all of the Shares (the “Contribution”). Holdings hereby accepts the Contribution. The parties hereto acknowledge that the Shares are uncertificated.
Contribution and Acceptance. Parent agrees to contribute to the capital of Subsidiary, and to transfer and assign to Subsidiary all of its right, title and interest in, to and under the Contributed Notes, which contribution, transfer and assignment Subsidiary hereby accepts. This transaction is intended to qualify as a transfer governed by Section 351 of the Internal Revenue Code of 1986, as amended.
