Cooperation in General. (a) Each of Odetics and ATL agrees to make available to the other party documents and records in its custody and in the custody of any member of its group, to furnish other information and otherwise to cooperate to the extent reasonably required for the filing of tax returns and the handling of audits of such other party.

Cooperation in General. To the extent necessary to enable the party preparing or filing a tax return or handling a tax claim as provided herein, each of IDG and IDGB agrees to make available to the other party records in its custody or control, to furnish other information, and otherwise to cooperate to the extent reasonably required for the filing of tax returns the handling of a tax claim.
