Cooperation to Resolve Disputes. The Parties will cooperate and attempt in good faith to resolve any dispute promptly by negotiating between representatives with authority to settle the dispute and who are at a higher level of management than the persons with direct responsibility for administration and performance of the provisions or obligations of this Terms and Conditions that are the subject of the dispute. In the event that the Parties are unable to resolve any dispute between them in accordance with this Section notwithstanding their good faith efforts to do so, the Parties may resort to their remedies available at law or in equity. Nothing in this Section 11.5 shall prevent a Party from immediately seeking any legal or equitable relief from a court of competent jurisdiction in connection with the Agreement.
