Common use of Cooperation; Transfer of Documents and Records Clause in Contracts

Cooperation; Transfer of Documents and Records. The Master Servicer agrees, at its sole cost and expense (and in any event no later than ten Business Days after notice of its termination), to provide the Trustee with all documents and records requested by it to enable it (or its designee, or the successor Master Servicer when appointed) to assume the Master Servicer’s functions under this Trust Agreement, and to cooperate with the Trustee in effecting the termination of its responsibilities and rights under this Trust Agreement in the capacity of Master Servicer, including the transfer within one Business Day to the Trustee for administration by it of any Trust assets that may be held by or on behalf of the terminated Master Servicer. The terminated or resigning Master Servicer will not be entitled to receive fees for services after the effective date of the termination. The terminated or resigning Master Servicer will, however, continue to be entitled to receive all amounts accrued or owing to it (in its capacity as Master Servicer) under the Trust Documents on or prior to the date of such termination, whether in respect of Delinquency Advances or otherwise.
