Corporate and Judicial Proceedings. All corporate and judicial proceedings and all instruments and agreements in connection with the transactions among the Borrower, the Guarantors, the Agent and the Lenders contemplated by this Agreement shall be reasonably satisfactory in form and substance to the Agent, and the Agent shall have received all information and copies of all documents and papers, including records of corporate and judicial proceedings, which the Agent may have reasonably requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial authorities.
Corporate and Judicial Proceedings. All corporate and judicial proceedings and all instruments and agreements in connection with the transactions among the Borrower, the Guarantors, the Agents and the Lenders contemplated by this Amendment shall be reasonably satisfactory in form and substance to the Lenders, and the Agents and the Lenders shall have received all information and copies of all documents and papers, including records of corporate and judicial proceedings, which the Agents may have reasonably requested in connection herewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial authorities.
Corporate and Judicial Proceedings. All corporate and judicial proceedings and all instruments and agreements in connection with the transactions among the Borrower, the Guarantors, the Administrative Agent, the Issuing Bank, the Agent, the Co-Agents and the Lenders contemplated by this Agreement shall be reasonably satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received all information and copies of all documents and papers, including records of corporate and judicial proceedings, which the Administrative Agent may have reasonably requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial authorities.
Corporate and Judicial Proceedings. All corporate, judicial and other proceedings and all instruments and agreements in connection with the transactions among the Loan Parties, the Agents, the Fronting Banks and the DIP Lenders contemplated by the Loan Documents shall be satisfactory in form and substance to the Co-Lead Arrangers, and the Co-Lead Arrangers shall have received all information and copies of all documents and papers, including records of corporate, judicial and other proceedings, which the Co-Lead Arrangers may have requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial or other authorities.
Corporate and Judicial Proceedings. All corporate and judicial proceedings and all instruments and agreements in connection with the transactions among the Borrower, the Guarantors, the Agent and the Banks contemplated by the Fifth Amendment shall be reasonably satisfactory in form and substance to the Agent, and the Agent shall have received all information and copies of all documents and papers; including records of corporate and judicial proceedings, which the Agent may have reasonably requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial authorities.
Corporate and Judicial Proceedings. All corporate and judicial proceedings and all instruments and agreements in connection with the transactions among the Borrower, the U.S. Guarantors, the Foreign Subsidiaries, the Agent and the Lenders contemplated by this Agreement shall be satisfactory in form and substance to the Agent and the Required Lenders in all respects, and the Agent and the Lenders shall have received all information (financial or otherwise) and copies of all documents and papers, including records of corporate and judicial proceedings, which the Agent, or its counsel may have reasonably requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial authorities.
Corporate and Judicial Proceedings. All corporate and judicial proceedings required to be taken in connection with the execution of this Agreement, the making of the Loans, the granting of the Security Interest, the use of cash collateral, and the incurrence of any obligations with respect to the execution and delivery of the Loan Documents and all documents and papers relating thereto, shall have been taken, executed and delivered, and shall be satisfactory to Lenders in all material respects. Lender shall have received copies of such documents and papers as Lenders may reasonably request in connection therewith, all in form and substance satisfactory to Lender.

All corporate and judicial proceedings and all instruments and agreements in connection with the transactions among the Borrower, the Guarantors, the Agent and the Banks contemplated by the Fourth Amendment shall be reasonably satisfactory in form and substance to the Agent, and the Agent shall have received all information and copies of all documents and papers, including records of corporate and judicial proceedings, which the Agent may have reasonably requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial authorities.
Corporate and Judicial Proceedings. All corporate and judicial proceedings and all instruments and agreements in connection with the transactions among the Credit Parties, the Administrative Agent, the Issuing Bank, the Collateral Agent, the Tranche B Agent, the Tranche C Agent, the Co-Agents and the Lenders contemplated by this Amendment shall be reasonably satisfactory in form and substance to the Administrative Agent and the Tranche C Agent, and the Administrative Agent and the Tranche C Agent shall have received all information and copies of all documents and papers, including records of corporate and judicial proceedings, which the Administrative Agent or the Tranche C Agent may have reasonably requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial authorities.
Corporate and Judicial Proceedings. All corporate and judicial proceedings and all instruments and agreements in connection with the transactions among the Borrower, the Administrative Agent, the Collateral Agent and the New Term Lenders contemplated by this Credit Agreement shall be reasonably satisfactory in form and substance to the Administrative Agent, the Collateral Agent, and the New Term Lenders, as the case may be, and the New Term Lenders shall have received all information and copies of all documents and papers, including records of corporate and judicial proceedings, which the Administrative Agent may have reasonably requested pursuant to the written direction of the Required Lenders in connection therewith, such documents and papers where appropriate to be certified by proper corporate, governmental or judicial authorities.
