Corporate Documents, Incumbency Certificate, etc. On or prior to the Closing Date, the Obligee shall have received from each of the Obligor and the Guarantor, (1) a certified copy of its articles or certificate of incorporation and by-laws as in effect on the First Acquisition Date, certified by its Secretary or Assistant Secretary as of the initial Acquisition Date, which certificate shall state that such articles or certificate of incorporation and by-laws are in full force and effect in the form attached to such certificate, (2) a certificate of existence with respect to it, dated no earlier than the twentieth (20th) day prior to the Closing Date, (3) a certificate of its Secretary or Assistant Secretary certifying as to the incumbency of its officers who are authorized to execute and deliver on its behalf the Operative Documents and other documents, instruments and agreements to be executed by it pursuant to this Agreement and the other Operative Documents (4) certified copies of the powers-of-attorney pursuant to which the Obligor shall execute the relevant agreements and (5) a notarized power-of-attorney (together with an acceptance letter) granted to the process agent in New York for each of the Obligor and the Guarantor.
