SPC has the corporate power and authority to own and use its properties and to transact the business in which it is engaged. In the event Buyer assigns its rights and obligations hereunder to a subsidiary or affiliate, as provided in Section 12.1 hereof, such subsidiary or affiliate will be a corporation duly organized, validly existing and in good standing under the Laws of its state of incorporation; and such subsidiary or affiliate will have the corporate power and authority to own and use its property and to transact the business in which it is engaged.
