Right of Enforcement and Settlement. From and after the Closing Date, SCC shall have complete control over the satisfaction and discharge of the Assumed Obligations and the right to commence, conduct and control all negotiations and proceedings with respect thereto. Seller shall notify SCC promptly of any claim made which arose, accrued or otherwise relates to any Assumed Obligation and shall not, except with SCC's prior written consent, voluntarily settle or offer to settle, or consent to any compromise or admit liability with respect to, any such claim. Seller shall cooperate with SCC in any reasonable manner requested by Buyer in connection with any negotiations or proceedings involving any Assumed Obligation.

The Company shall take any and all actions which may reasonably be necessary to prevent any Person or governmental authority from having recourse against Norton based upon any of the Assumed Obligations.

Seller shall cooperate (at Purchaser's expense solely with respect to out-of-pocket disbursements) with Purchaser in any reasonable manner requested by Purchaser in connection with any negotiations or proceedings involving any Assumed Liabilities or Assets.

(a) Subject to Article IX hereof, from and after the Closing, Buyer shall have complete control over the payment, settlement or other disposition of all Assumed Liabilities and the right to commence, conduct and control all negotiations and legal proceedings with respect thereto. The Sellers hereby agree to cooperate with Buyer in any manner reasonably requested by Buyer involving the defense, settlement or other disposition of any Assumed Liabilities.
(b) Subject to Article IX hereof, from and after the Closing, the Sellers shall have complete control over the payment, settlement or other disposition of all Retained Liabilities and the right to commence, conduct and control all negotiations and legal proceedings with respect thereto. Buyer hereby agrees to cooperate with the Sellers in any manner reasonably requested by the Sellers involving the defense, settlement or other disposition of any Retained Liabilities.
