Corporate Power; Due Authorization; Non-Contravention. The Company has the requisite corporate power to execute and deliver this Agreement and to consummate the transactions contemplated hereby including, without limiting the generality of the foregoing, the payment by the Company of the Settlement Payment. The execution and delivery of this Agreement by the Company, and the consummation of the transactions contemplated hereby, including, without limitation, the payment of the Settlement Payment, have been duly authorized by all necessary corporate action.
