Until December 31, 2001, Thermo Electron shall maintain the corporate records of the Viasys Group, including without limitation, maintaining minutes of meetings of the Boards of Directors and Stockholders, supervising the transfer agent and registration functions, coordinating stock repurchase programs and tracking stock issuances and reserved shares.
