There are no material omissions from such minute books or the minutes of any meetings, proceedings or actions of the shareholders, the Board of Directors or the Board of Statutory Auditors of the Company and any Affiliate or any committees thereof and such records contain all reports to shareholders; all such meetings were duly called and held; the Shareholders’ Ledger of each company of Tinet Group is complete and accurate. For clarification purposes, the Sellers represent and warrant that no resolutions have been adopted by the Director(s) of the Company before 25 March 2009.
