Correct Copies. The Company has provided or made available to the Purchasers counsel the Purchasers with true and complete copies of all documents pursuant to which the Plans are maintained and administered and the most recent annual reports (Form 5500 and attachments) for the Plans.
Correct Copies. The Instruments and each other Mortgage Document -------------- related thereto have been delivered by Issuer to Custodian, as bailee on behalf of the Trustee, and are true and correct originals of such documents (in all material respects), each of which is in full force and effect and has not been amended, modified or terminated in any respect other than such amendments, modifications or terminations as have been previously and explicitly approved by Trustee in writing.

All copies of all certificates and permits, and all other contracts or documents delivered or made available by either Fail or Paden on behalf of TPII to Capital in connection with the transactixxx xontemplated hereby, the Partnership or any Facility are true, correct and, to the extent they purport to be complete, complete copies.
Correct Copies. The Sellers have provided the Buyer with true and complete copies of all documents pursuant to which the Plans are maintained and administered and the most recent annual reports (Form 5500 and attachments) for the Plans.

The Instruments and each other Mortgage Document related thereto has been delivered by Borrower to Custodian, as bailee on behalf of the Lender, prior to the applicable Transfer Date, and are true and correct copies of such documents, each of which is in full force and effect and has not been amended, modified or terminated in any respect through the date hereof as of such Transfer Date other than such amendments, modifications or terminations as have been previously and explicitly approved by Lender in writing.
Correct Copies. The copies of the Leases and the Existing Contracts delivered or made available to Purchaser pursuant to Section 5.3 or as delivered by Seller pursuant to Section 10.2.7 below are, to the best of Seller’s knowledge, true, correct and complete copies of the same documents contained in Seller’s files and there are, to the best of Seller’s knowledge, no material inaccuracies in such Leases or Existing Contracts. The rent roll attached hereto as Schedule 7.1.7 and as required to be updated pursuant to Section 10.2.7 below (collectively, the “Rent Roll”) is the rent roll used by Seller in the ordinary course of Seller’s management and operation of the Property. As used in the provisions of this Section 7.1, “Leases” means the leases and agreements listed on the Rent Roll and any leases entered into by Seller after the Effective Date in accordance with this Agreement, including those as more particularly set forth in Section 9.5 below.

STS has provided Purchaser with true and -------------- complete copies of all documents pursuant to which the Plans are maintained and administered and the most recent annual reports (Form 5500 and attachments) for the Plans and except as set forth in the ERISA Schedule, -------------- all such reports have been filed in a timely and complete manner.
