Corrective Amendment. The Issuer and the Holders have jointly identified the following technical error in Section 8.01(d): there is a specific reference to “Section 6.01(m)” that was intended by the parties to be a reference to Section 6.01(l). Accordingly, effective as of the Closing Date, Section 8.01(d) is hereby amended by replacing the reference to “Section 6.01(m)” with “Section 6.01(1)”.
Corrective Amendment. Subject to and upon the terms and conditions set forth herein, the Administrative Agent and the Borrower hereby agree to the following corrective amendment (the “Amendment”): Section 6.7(d) of the Credit Agreement is hereby amended by replacing the phrase “may make a Restricted Payment to Parent” with the phrase “may make a Restricted Payment to Parent and EE Holdings”.
Corrective Amendment. Subject to and upon the terms and conditions set forth herein, the Administrative Agent and the Borrower each hereby agrees that Section 9.04(a)(iii) of the Credit Agreement is hereby corrected to read as follows:
Corrective Amendment. For the avoidance of doubt, the provision referenced in the First Amendment as Section 2.01(e) of the Credit Agreement shall be deemed to be replaced in its entirety with Section 2.02(e) of the Credit Agreement, as amended hereby.
Corrective Amendment. Effective as of August 19, 2011, the reference to “the Borrower shall not” set forth in the introductory paragraph of Article VII of the Original Agreement is hereby amended to refer instead to “the Borrower shall not (except in the case of the covenant set forth in Section 7.02, which shall be limited to Subsidiaries)”.
Corrective Amendment. Section 4.3(c) is amended by replacing "Monthly Amounts" with "Monthly Spark Spread Amounts" in each place where it occurs in Section 4.3(c).
Corrective Amendment. All references in the Loan Documents to "SPF CDO I, LLC, a Delaware limited liability company" are hereby amended to read and refer to "SPF CDO I, LTD., a Cayman Islands limited liability company."
Corrective Amendment. The Exhibit B containing the description below is hereby redesignated as “Exhibit C.” Consistent with Section 3 of the Second Amendment, the County does hereby affirm that it remises, releases and terminates all of its leasehold interest in and to the real property described below and the improvements thereon. The real property described below is not subject to the Lease Agreement. It is set forth solely to identify the location of the improvements described on the following page.
