Common use of Cost Share Clause in Contracts

Cost Share. The Contractor agrees that, in addition to the Grant Funds, it shall be responsible for ensuring that it and/or its Subcontractors cover at least [amount of the cost share spelled out in words] United States Dollars (US$ [dollar amount of cost share]) of costs to complete the full Terms of Reference (the “Contractor Cost Share”), subject to and in accordance with the Success Fee and Cost Share Agreement, dated [date of agreement] (the “Success Fee and Cost Share Agreement”), by and between USTDA and the Contractor; provided, however, that in the event that the Contractor does not complete the full Terms of Reference prior to termination of this Contract, then the actual funding contributed by each of USTDA and the Contractor will remain proportionate to the ratio of (a) the amount of the Grant Funds, to (b) the amount of the Contractor Cost Share, taking into account the value of the Contractor Cost Share that is due to be paid or contributed by the Contractor.
