Costs of Appraisal. Borrower shall pay for the costs of each Appraisal and each updated Appraisal only (i) after the occurrence of an Event of Default, or (ii) in connection with an annual Appraisal to be ordered by the Administrative Agent for each Borrowing Base Property, or (iii) in connection with any request by the Borrower to extend the Initial Maturity Date to the Extended Maturity Date, or (iv) if a material adverse change has occurred to any Borrowing Base Property.

The Borrower shall pay for the costs of each Appraisal and each updated Appraisal requested by the Administrative Agent only (a) after the occurrence of an Event of Default, or (b) in connection with an annual Appraisal to be ordered by the Administrative Agent for each Borrowing Base Property, or (c) in connection with any request by the Borrower to extend the Initial Maturity Date to the Extended Maturity Date, or (d) if, in the Administrative Agent’s reasonable discretion, the value of any Borrowing Base Property has been materially impacted.

Borrower shall pay for the costs of each Appraisal and each updated Appraisal only (i) after the occurrence and during the continuance of an Event of Default or (ii) during any period in which the Agent has reasonably determined that Borrower has failed to satisfy the Cash Sweep Account Test; provided that Borrower shall not be required to pay for more than one (1) Appraisal of each Individual Property in any twelve (12) month period.

Borrower shall pay for the costs of any appraisal including each Updated Appraisal; provided that Borrower shall only be required to pay for an Updated Appraisal (1) once per year, (2) in connection with an extension under Section 2.10 hereof and (3) upon the occurrence of an Event of Default which exists and is continuing.

All appraisal proceedings shall be held in San Antonio, Texas.
