Costs, Taxes and Expenses. Notwithstanding anything contained herein or the other Transaction Documents, the stamp duty payable on this Agreement and in connection with the sale and transfer of the Sale Shares by the Sellers to the Purchasers pursuant to this Agreement shall be borne by the Purchasers. The cost and expenses incurred in fulfilling any Condition Precedent which is required to be fulfilled under this Agreement shall be borne by the Company.

Costs, Taxes and Expenses. The PARTIES agree that each one of them is responsible for its own costs, expenses and taxes related to the payments established herein, in accordance with the applicable laws.
Costs, Taxes and Expenses. The Debit User will pay: (a) all stamp, transaction and other similar duties, taxes and charges in relation to this agreement and any document related to this agreement to which it is a party. This includes bank account debits tax. The Debit User will also pay any fines and penalties unless they result from a failure by Westpac to lodge a document for stamping in sufficient time, having received from the Debit User the amount of stamp duty in good time; and (b) all costs and expenses incurred by Westpac in enforcing its rights under this agreement.

For the avoidance of doubt any Taxes on profits or gains of the Sellers shall be borne solely by the respective Seller. (c) All other charges and costs payable in connection with the execution of this Agreement and the consummation of the transactions contemplated hereby shall be borne by the Purchasers.

  • Taxes and Expenses All taxes of any kind that may be assessed or levied against or in respect of the Fund and all brokerage commissions incurred by the Fund shall be paid from the Fund. All other expenses incurred by the Trustee in connection with the administration of this Trust, including fees for legal services rendered to the Trustee, the compensation of the Trustee to the extent not paid directly by the Grantor, and all other proper charges and disbursements of the Trustee shall be paid from the Fund.

Seller shall reimburse each Conduit on demand for all other costs and expenses incurred by such Conduit (“Other Costs”), including, without limitation, the cost of auditing such Conduit’s books by certified public accountants, the cost of rating the Commercial Paper of such Conduit by independent financial rating agencies, and the reasonable fees and out-of-pocket expenses of counsel for such Conduit or any counsel for any shareholder of such Conduit with respect to advising such Conduit or such shareholder as to matters relating to such Conduit’s operations.
