Common use of Counsel and Fees; Reliance upon Counsel Clause in Contracts

Counsel and Fees; Reliance upon Counsel. If Xxxxxx Agent believes it to be reasonably necessary to consult with counsel concerning any of its duties in connection herewith, or in case the Escrow Agent becomes involved in litigation on account of acting hereunder, then, in either case, its cost, expenses and reasonable attorneys fees shall be paid by Xxxxxx. Escrow Agent's right to receive its attorneys’ fees and expenses shall survive the termination of this Escrow Agreement. If Escrow Agent consults with counsel, Escrow Agent may act, in good faith, in reliance upon the advice of counsel concerning its duties in connection herewith or in acting hereunder.
