Regarding the Escrow Agent. ATC and NetChemistry each understand and acknowledge that Escrow Agent is a professional corporation engaged in the practice of law and that its duties as Escrow Agent hereunder arise from its contemporaneous association with and bona fide client relationship with NetChemistry and Walter Cruttenden, the principal stockholder of NetChemistry. ATC and NetChemistry each understand and acknowledge that Escrow Agent has apprised them of the provisions of Rule 3-310 of the Rules of Professional Conduct of the State Bar of California, a copy of which is attached hereto as EXHIBIT E. Each of ATC and NetChemistry hereby consent to Escrow Agent's performance as Escrow Agent with respect to this Escrow Agreement.

Regarding the Escrow Agent. 7.1 In the event that a dispute shall arise as to the disposition of the funds in the Escrow Account or any other funds held hereunder in escrow, Escrow Agent shall have the right, at its option, to either hold the same or deposit the same with a court of competent jurisdiction pending decision of such court, and Escrow Agent shall be entitled to rely upon the decision of such court.
