Counterclaim and Cross. Claim. To the extent reasonably requested by the Seller and related to the claim in question, the Purchaser shall make or shall procure that the Company makes any counterclaim against any Person asserting such Third Party Claim or any cross-claim against any other Person that may be liable; provided, however, that the Purchaser or the Company shall not be required to make any counterclaim or cross-claim that could prejudice its commercial interests. The Seller shall be responsible for all legal fees and costs in relation with such counterclaim.

Counterclaim and Cross. Claim. If so requested by an Indemnifying Party and related to the claim in question, the Indemnified Party shall make (or in the case of the Purchasers, shall cause the relevant Companies to make) any counterclaim against any Person asserting such Third Party Claim or any cross-claim against any other Person which may be liable. The Indemnifying Party shall bear the cost of any such counterclaim or cross-claim, which shall not be settled without the prior written consent of the Indemnifying Party.

  • Setoffs Rights of set off or recoupment and banker's Liens, subject to any limitations imposed upon them in the Credit Documents.

  • Infringement and Litigation 11.1 Each party shall promptly notify the other in writing in the event that it obtains knowledge of infringing activity by third parties, or is sued or threatened with an infringement suit, in any country in the LICENSED TERRITORY as a result of activities that concern the LICENSED PATENTS, and shall supply the other party with documentation of the infringing activities that it possesses.
