Commercial Interests. 16.1 If a situation arises where it may reasonably be inferred that the Contractor has a conflict of interest, the Contractor shall report this in writing to the Project Assurance Officer immediately and the Work may, at English Heritage's discretion, be suspended pending investigation of the matter. If the conflict of interest cannot be resolved to English Heritage's reasonable satisfaction, English Heritage shall have the right to terminate this Agreement in accordance with Clause 22.

Commercial Interests. 41.1 The Vendor discloses, and the Purchaser acknowledges and agrees that all of the provisions in this Contract, including the provisions listed below in special condition 41.2, are reasonably necessary to protect the Vendor's legitimate interests by:
41.1.1 providing the Vendor with sufficient flexibility in the design, planning, construction and management of the Development due to the Development being at a stage where the Vendor has no certainty as to design and construction constraints; and
41.1.2 ensuring that the Vendor has sufficient flexibility under this Contract if the economic viability of the Development for the Vendor is affected by anything including changes in market conditions, construction costs or other matters.
41.2 Without limiting the operation of special condition 41.1, the parties agree that special conditions 6, 9, 12, 12.4, 14, 15, 16, 18, 26, 34, 35, 36, 37 and 38 of this Contract are reasonably necessary to protect the Vendor's legitimate interests for the reasons stated in special condition 41.1.

Collaboration agreement The Buyer anticipates appointing a technical delivery partner (a “TDP”) to support the Buyer on the delivery of the Services by the Supplier and the Buyer’s use of the Services. The annual total liability of the Supplier for Buyer Data Defaults resulting in direct loss, destruction, corruption, degradation or damage to any Buyer Data will not exceed an amount equal to Redacted under FOIA section 43, Commercial Interests of all Charges payable by the Buyer to the Supplier during the entirety of the Call-Off Contract Term. The annual total liability of the Supplier for all other Defaults will not exceed an amount equal to Redacted under FOIA section 43, Commercial Interests of all Charges payable by the Buyer to the Supplier during the entirety of the Call-Off Contract Term. The total liability of the Buyer for all other Defaults will not exceed five million Pounds sterling (£5,000,000).
