Common use of Counterparts and Effectiveness Clause in Contracts

Counterparts and Effectiveness. This Agreement and any waiver of amendment hereto may be executed in any number of counterparts and by the different parties hereto in separate counterparts, each of which when so executed and delivered shall be an original, but all of which shall together constitute one and the same instrument. This Agreement shall become effective on the date on which all of the parties hereto shall have signed a copy hereof (whether the same or different copies) and shall have delivered the same to Agent or, in the case of the Lenders, shall have given to Agent written, telecopied or telex notice (actually received) at such office that the same has been signed and mailed to it.
