Countersignatures. 15.1 This Agreement may be signed in counterparts, each of which so signed shall be deemed to be an original (and each signed copy sent by electronic facsimile transmission shall be deemed to be an original), and such counterparts together shall constitute one and the same instrument and notwithstanding the date of execution, shall be deemed to bear the date as set forth above.
Countersignatures. This Bank Merger Agreement may be executed by facsimile or other electronic means and in any number of counterparts, and each such counterpart shall be deemed to be an original instrument, but all such counterparts together shall constitute but one agreement.
Countersignatures. Warrant Certificates shall be manually countersigned by the Warrant Agent and shall not be valid for any purpose unless so countersigned. The Warrant Agent is hereby authorized to countersign and deliver to, or in accordance with the instructions of, any Warrant Holder any Warrant Certificate which is properly issued under the terms of this Agreement.

The Parties agree that this Agreement may be signed in any number of counterparts and that this Agreement and the signatures may be delivered by facsimile or other electronic means, each of which shall be deemed to be an original, with the same effect as if the signatures thereto were upon the same instrument and delivered in person. The provisions of this Schedule “B” apply to the Services, as applicable.
