Covenant Against Hiring. Participant acknowledges and agrees the he/she will not directly or indirectly recruit, solicit, or hire any Company employee or otherwise induce any such employee to leave the Company’s employment during the period of Participant’s employment and for one (1) year after his/her Last Day of Employment.
Covenant Against Hiring. Seller understands that it is essential to the successful operation of the business to be acquired hereunder that Buyer retain substantially unimpaired ADS's operating organization. Seller agrees that neither he nor it shall purposefully take any action which would induce any employee or representative of Xxxxxx not to become or continue as an employee or representative of Buyer. Without limiting the generality of the foregoing, Seller shall not, whether directly or indirectly through any subsidiary or affiliate, for a three (3) year period from the Closing Date solicit to employ (whether as an employee, officer, director, agent, consultant or independent contractor), or enter into any partnership, joint venture or other business association with, any person who was at any time using the 12 months preceding the Closing Date an employee, partner, representative, or manager of ADS. Provided, however, if the Buyer and Xxxxxx X. Xxxxxx sign a three (3) year employment agreement and thereafter Buyer terminates Xxxxxx X. Xxxxxx other than "for cause" and does not compensate him for the three (3) year period from the Closing, then Xxxxxx and the Principal Shareholders shall have the right, after such termination, to employ Xxxxxx X. Xxxxxx.

Seller and the Shareholders understand that in Buyer's view it is essential to the successful operation of a technical staffing business in the Territory that Buyer retain substantially unimpaired Seller's current operating organization. Seller and the Shareholders covenant and agree that neither of them, nor any affiliate of either of them, without the prior written consent of Buyer, shall take any action which would induce any employee, independent contractor or representative of Seller prior to the Effective Time not to become or continue as an employee, independent contractor or representative of Buyer.

Each of the Shareholders understands that it is essential to the successful operation of the business to be acquired hereunder that DAH retain substantially unimpaired AI's operating organization. Each of the Shareholders agrees not to purposefully take any action which would induce any current employee or representative of AI not to become or continue as an employee. Without limiting the generality of the foregoing, the Shareholders shall not, whether directly or indirectly through any subsidiary or affiliate, employ, whether an employee, officer, director, agent, consultant or independent contractor, or enter into any partnership, joint venture or other business association with, any current employee, partner, representative, or manager of AI, for a period of the 12 months, after such person ceases or has ceased, for any reason, to be an employee, representative, partner, or manager of AI; provided, however, that Xxxxx Xxxxxx may hire any person (i) who is terminated by AI or (ii) who prior to being solicited for employment by Xxxxx Xxxxxx, voluntarily terminates his or her employment with AI.

Sellers and Nextera agree that they shall not take any action to induce any employee or representative of Sellers not to become or continue as an employee or representative of Buyer and Sellers and Nextera shall assist Buyer in its efforts to hire employees of Sellers who Buyer desires to hire. Without limiting the generality of the foregoing, Sellers and Nextera shall not, whether directly or indirectly through any subsidiary or affiliate, employ or retain, whether an employee, officer, director, agent, consultant or independent contractor, or in any other capacity whatsoever, or enter into any partnership, joint venture or other business association with, any person who was at any time an employee, representative, officer, director or manager of Sellers, for a period of 12 months after such person ceases or has ceased, for any reason, to be an employee, representative, officer or director of Sellers.
Covenant Against Hiring. (a) Seller agrees that it shall not, for a period of two (2) years following the Closing Date, take any action which would induce or solicit any employee of the SMT Business as operated by Buyer not to continue as an employee of Buyer or to become employed by Buyer. Seller agrees that it shall not, during the thirty-day period commencing on the Closing Date, solicit for employment by Seller any SMT Employee (as defined in Section 5.3(b)) who is not employed by Seller on the Closing Date. Seller agrees that it shall not, whether directly or indirectly through any subsidiary or affiliate, employ, whether an employee, officer or director, or enter into any partnership, joint venture or other business association with, any person who at any time between January 1, 2001 and the Closing Date was an employee, officer or director of Buyer, for a period of twelve (12) months after such person ceases or has ceased, for any reason, to be an employee, officer or director of Buyer.
(b) Buyer agrees that it shall not, for a period of two (2) years following the Closing Date, take any action which would induce or solicit any employee of Seller's Retained Businesses not to continue as an employee of Seller or to become employed by Buyer. Schedule 5.3(b) sets forth a list of all current employees of Seller who are, and all former employees of Seller who since January 1, 2001 were, active in the operations of the SMT Business (the "SMT Employees"). In the event that, from time to time during the thirty-day period commencing on the Closing Date, Buyer desires to speak with one or more SMT Employees regarding potential employment with Buyer, Buyer shall deliver to Seller written notice thereof (a "Employment Notice"), setting forth the name of each SMT Employee with whom Buyer so desires to speak. Seller shall promptly contact each such SMT Employee listed in an Employment Notice and apprise him or her of Buyer's desire to contact him or her regarding potential employment with Buyer. Seller shall promptly thereafter provide to Seller contact information for each SMT Employee listed in an Employment Notice who expresses a willingness to speak with Buyer about potential employment with Buyer. Seller agrees not to discourage any SMT Employee listed in an Employment Notice from accepting employment with Buyer; provided, however, that Seller shall not be under any obligation to encourage any SMT Employee then employed by Seller to leave the employment of Seller. Covenant Against Hiring. Each Shareholder agrees that he will not, during the period commencing on the date hereof and ending on the second anniversary of the date on which he ceases to be employed by, or otherwise affiliated with, the Company, take any action which would induce any employee or representative of the Company not to become or continue as an employee or representative of the Company.
Covenant Against Hiring. Each of the Sellers agrees from and after the date hereof that he shall not take any action which would, or is designed to, induce any employee or representative of the Company not to continue as an employee or representative of the Company.
Covenant Against Hiring. Executive acknowledges and agrees that she will not directly or indirectly recruit, solicit, or hire any Block employee or otherwise induce any such employee to leave Block’s employment during the period of Executive’s employment and for one (1) year after the Termination Date. The running of the one (1) year period will be suspended during any period of violation and/or any period of time required to enforce this covenant by litigation or threat of litigation.

Without limiting the generality of the foregoing, DAH shall not, either directly or indirectly through its Tri-Star subsidiary, for a three (3) year period from the Closing Date solicit to employ (whether as an employee, officer, director, agent, consultant or independent contractor), or enter into any partnership, joint venture or other business association with, any person who was at the Closing Date an employee, partner, representative, or manager of the Aerospace and Government Systems Sector of AMP.
