Covenant as to Stock. Each of the Trust and the Corporation covenants that all Trust Shares and Corporation Shares, respectively, which may be issued by it upon conversion of Securities will upon issue be fully paid and nonassessable and, except as provided in Section 1107, it will pay all taxes, liens and charges with respect to the issue thereof.

In connection with the distribution of the Debentures to the holders of the Preferred Securities issued by the Trust upon a Dissolution Event, the Company shall use its best efforts to list such Debentures on The Nasdaq Stock Market's National Market or on such other exchange as the Preferred Securities are then listed.
